Recitals (WHEREAS)

WHEREAS, the Carrier is engaged in the business of providing transportation, logistics and related services and represents that it maintains and operates vehicles, personnel and facilities sufficient to perform contracted transportation; and

WHEREAS, the Recipient (the entity requesting transportation services) requires certification that the Carrier meets specified regulatory, insurance and safety eligibility requirements prior to assignment of loads or routes; and

WHEREAS, the Carrier certifies to the Recipient the facts and assurances set forth in this Transportation Eligibility Certification Form for the purpose of establishing carrier eligibility, payment terms and continuing compliance.

Scope of Services

The Carrier shall provide transportation services as requested by the Recipient consistent with the services described below. Carrier shall perform in compliance with all applicable federal, state and local laws, ordinances and regulations.

Eligibility Representations and Warranties

By signing this form the Carrier represents and warrants as of the date below that it meets the following eligibility requirements (check each box to certify):

Carrier maintains commercial liability and cargo insurance in amounts required by contract and law and will provide certificates of insurance upon request.

Carrier holds all required operating authority, licenses, permits and registrations (including motor carrier authority) for the scope of services provided.

Carrier is not currently suspended, debarred or excluded from federal or state programs and is in compliance with safety and drug/alcohol testing requirements.

Payment Terms

The Recipient will pay the Carrier for services rendered in accordance with the terms below. Carrier acknowledges that payment is conditioned upon presentation of proper invoices and supporting documentation as required by Recipient.

Term and Termination

This Certification is effective as of the Start Date and will remain in effect until the End Date below unless earlier terminated pursuant to this section.

Either party may terminate this Certification for convenience upon written notice to the other party delivered at least days prior to the effective date of termination. Termination for cause may be immediate upon written notice where a party materially breaches an obligation and fails to cure within a reasonable cure period.

Confidentiality

Each party shall maintain as confidential and shall not disclose to any third party any proprietary, financial or technical information of the other party disclosed in connection with this Certification, except where disclosure is required by law or necessary to perform the services. Confidential information shall remain subject to confidentiality obligations for a period of years following termination.

Governing Law and Remedies

This Certification shall be governed by and construed in accordance with the laws of the state of without regard to its conflicts of law principles. The parties agree that remedies at law for breach may be inadequate and that injunctive relief or specific performance may be sought in addition to other available remedies.

Entire Agreement

This document, together with any attachments, schedules and certificates delivered pursuant hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes any prior or contemporaneous oral or written agreements. Any amendment must be in writing and signed by authorized representatives of both parties.
