Payment is due in accordance with the Payment Terms stated above. Past-due balances accrue interest at a rate of 1.5% per month (18% per annum) or the maximum permitted by law, plus all costs of collection, including reasonable attorneys' fees. Issuer reserves the right to suspend service or retain possession of freight for unpaid charges.

Claims for loss, damage, or overcharge must be submitted in writing within seven (7) days of delivery for loss or shortage and within thirty (30) days for billing disputes. Failure to provide timely notice will constitute a waiver of the claim. Carrier liability is limited to actual proven loss and, unless a higher declared value is agreed in writing and additional charge paid, shall not exceed the lesser of the actual value of goods or a per-unit limitation as established by the carrier's tariff or governing contract.

Accessorial charges (including detention, layover, reconsignment, storage, and special handling) and fuel surcharges are separately billable and payable. Shipper/Consignor warrants that goods are properly packaged and labeled and indemnifies Issuer against claims arising from improper packaging, hazardous materials not disclosed, or instructions that violate law.

This invoice and the transactions contemplated herein are governed by the rules and tariffs applicable to the movement, and by the laws of the applicable jurisdiction. Any dispute arising from this invoice shall be subject to the exclusive jurisdiction of the courts having competence over the principal place of business of the Issuer unless otherwise agreed in writing.
