TRANSPORTATION JB HUNT FORM

This Transportation Agreement (the Agreement) is entered into by and between:

Recitals

WHEREAS, Carrier is duly authorized and engaged in the business of transporting goods and represents that it holds all licenses, permits, and insurance required to perform transportation services in the jurisdictions where services will be performed; and

WHEREAS, Shipper desires to engage Carrier to provide transportation and related services for shipments described in this Agreement, and Carrier agrees to provide such services as an independent contractor under the terms and conditions set forth below; and

WHEREAS, the parties intend that this Agreement set forth their full understanding and allocation of responsibilities, compensation, and liability with respect to the transportation of Shipper's cargo.

Scope of Work

Carrier will provide transportation services, including pickup, transport, and delivery of freight as described below. Carrier shall use suitable equipment, qualified drivers, and shall comply with all applicable laws and regulations while providing services.

Payment Terms

Compensation for services will be as set forth below. Unless otherwise agreed in writing, rates are exclusive of taxes, duties, and accessorial charges, which will be invoiced in addition to base compensation.

Invoices shall be submitted by Carrier to Shipper and are payable within days of receipt, unless otherwise specified in a written load confirmation. Late payments shall accrue interest at % per month on the outstanding balance, or the maximum rate permitted by law, whichever is less.

Insurance, Liability, and Indemnification

Carrier shall maintain cargo and liability insurance in amounts sufficient for the value of shipments and in compliance with applicable law. Carrier's maximum liability for loss or damage to cargo shall be limited to $ per occurrence, unless a higher value is declared in writing and accepted by Carrier for an additional fee.

Each party shall indemnify and hold harmless the other party from and against any third-party claims, liabilities, losses, fines, or expenses arising from that party's negligence, willful misconduct, or breach of this Agreement.

Claims, Losses and Damage

Notice of loss or damage to cargo must be given in writing to Carrier within calendar days of delivery or discovery. Failure to provide timely notice shall bar recovery to the extent permitted by law.

Term and Termination

This Agreement is effective as of Start Date: and shall continue until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Either party may terminate immediately for material breach that remains uncured for 10 days after written notice of such breach.

Confidentiality

Each party shall maintain in confidence all non-public information disclosed by the other party in connection with this Agreement and shall not disclose such information to third parties except as required by law or necessary for performance. Confidential information shall not include information that is publicly known or independently developed by the receiving party without use of the disclosing party's confidential information.

Force Majeure

Neither party shall be liable for delays or failures in performance caused by events beyond its reasonable control, including but not limited to acts of God, strikes, embargoes, government orders, pandemics, or shortages of labor or materials; provided that the affected party gives prompt written notice and uses reasonable efforts to resume performance.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. The parties shall attempt in good faith to resolve disputes through negotiation prior to initiating litigation.

Entire Agreement

This Agreement, together with any signed load confirmations, rate confirmations, and attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior negotiations, representations, and agreements, whether written or oral. No amendment shall be effective unless in writing and signed by authorized representatives of both parties.

Each party represents and warrants that it has the full power and authority to enter into this Agreement and that the person signing on its behalf is duly authorized to bind the party to this Agreement.
