WHEREAS, Carrier is duly licensed and insured to provide transportation services and agrees to perform such services in accordance with the terms and conditions of this Agreement; and

NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the parties agree as follows.

Scope of Work

Carrier shall provide transportation services as requested by Requester, including vehicle operation, driver services, loading/unloading assistance as agreed, and any ancillary services necessary to complete the transport in a safe and timely manner. Carrier will comply with applicable laws and maintain required permits and licenses while performing services.

Payment Terms

Compensation: Requester agrees to pay Carrier the amounts set forth below for services rendered.

Late Payment: Unpaid amounts shall incur a late fee of on overdue balances, plus reasonable collection costs. Requester is responsible for tolls, parking, permits, and other pass-through charges unless otherwise agreed in writing.

Termination: Either party may terminate this Agreement for convenience upon written notice to the other party at least days prior to termination. Termination for material breach may be immediate if the breaching party fails to cure within a commercially reasonable cure period.

Confidentiality

Each party agrees to treat as confidential all nonpublic business information disclosed by the other party in connection with this Agreement, and not to disclose such information to third parties except as required to perform obligations hereunder or as required by law. Confidential information does not include information that is or becomes publicly available through no fault of the receiving party.

Insurance, Liability, and Indemnity

Carrier shall maintain, at its expense, commercial automobile liability insurance and cargo/consignee liability insurance in amounts reasonable and customary for the services provided. Carrier shall defend, indemnify and hold Requester harmless from claims, losses, or damages arising from Carrier’s negligent acts or willful misconduct, except to the extent caused by Requester’s negligence.

Cancellation and Force Majeure

Cancellation by Requester within a timeframe set in the payment schedule may result in forfeiture of deposits as liquidated damages. Neither party shall be liable for failure or delay in performing obligations due to causes beyond its reasonable control, including acts of God, governmental actions, strikes, or severe weather; the affected party shall promptly notify the other and make reasonable efforts to mitigate delays.

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the state specified by the parties below. This Agreement, including any attachments or written addenda executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior proposals, negotiations, and agreements, whether written or oral.

Additional Provisions

Amendments to this Agreement shall be in writing and signed by authorized representatives of both parties. Any notice required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above.
