Payment Terms

All payments are due in the currency specified by Carrier and must be paid within the timeframes set forth in Payment Schedule. Carrier may suspend services for overdue amounts after providing written notice and a reasonable cure period as set forth below.

Either party may terminate this agreement for material breach if the breaching party fails to cure the breach within the stated notice period. Termination for convenience is permitted only if explicitly agreed in writing and subject to agreed cancellation fees.

Cancellation and Refund Policy

Refunds, if any, will be issued according to the schedule set forth above and subject to deductions for services already performed and reasonable administrative costs.

Insurance, Liability and Indemnity

Carrier represents that it maintains liability and automobile insurance in amounts sufficient to cover the operation of its vehicles under this agreement. Carrier shall provide certificates of insurance upon request. Carrier's liability for loss arising out of or related to performance of services under this document shall be limited to direct damages not to exceed the total fees paid for the specific ride giving rise to the claim, except in cases of gross negligence or willful misconduct.

Client shall indemnify and hold Carrier harmless from third-party claims arising from Client's failure to disclose material facts, the carriage of passengers or cargo not declared in advance, or Client's negligent acts.

Confidentiality

Each party shall keep confidential all non-public business information received from the other party in connection with this agreement and shall not disclose such information except as required by law or with the prior written consent of the disclosing party. Confidential information does not include information that is independently developed, becomes publicly available without breach, or is rightfully received from a third party without restriction.

Passenger Responsibilities and Safety

Passengers must comply with Carrier's safety instructions and applicable laws. Carrier may refuse transport to any passenger who presents a safety risk, is intoxicated, or refuses to follow safety instructions. Client is responsible for informing Carrier of any special medical or mobility needs in advance.

Governing Law

This Transportation Ride Document shall be governed by and construed in accordance with the laws of the jurisdiction specified by the parties below. Any disputes arising under or in connection with this agreement shall be resolved in courts of competent jurisdiction in that jurisdiction.
