WHEREAS, the parties intend this document to serve both as a route assignment record and as the controlling agreement for the transportation services described herein.

SCOPE OF WORK

Carrier shall provide transportation services for the goods described by Client in accordance with the Route Details and the operational requirements set forth below. Carrier's obligations include loading, transportation, unloading, and any agreed ancillary services. Carrier will:

Either party may terminate this Agreement for convenience upon written notice to the other party at least days prior to the intended termination date. Immediate termination may occur for material breach, including but not limited to failure to maintain required insurance, repeated safety violations, or failure to pay undisputed amounts when due.

CONFIDENTIALITY

The parties acknowledge that route assignments, customer data, cargo manifests, pricing, and operational instructions constitute confidential commercial information. Each party agrees not to disclose such Confidential Information to third parties without prior written consent, except as required by law or as necessary to perform the services. Confidential Information shall not include information that is or becomes publicly available without breach of this Agreement or is independently developed by the receiving party without access to discloser's Confidential Information.

Confidentiality Obligations survive termination or expiration of this Agreement for a period of years.

INSURANCE AND LIABILITY

Carrier shall maintain automobile liability, cargo, and general liability insurance with limits adequate for the services rendered and shall provide certificates of insurance upon request. Carrier shall be liable for loss or damage to cargo resulting from Carrier's negligence, subject to applicable law and any agreed limits. The parties shall indemnify and hold each other harmless from claims arising from their respective negligent acts or omissions.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction selected by the parties: . Venue for disputes shall be in the courts of that jurisdiction unless otherwise agreed in writing.

ENTIRE AGREEMENT
