Recitals

WHEREAS, Shipper engages Carrier to provide transportation and related services for the movement of cargo on the terms set forth in this Transportation Schedule; and

WHEREAS, Carrier represents that it is duly licensed, insured and authorized to perform the transportation services described herein and will comply with all applicable statutes, regulations and industry standards in performing those services; and

WHEREAS, this Transportation Schedule supplements and is incorporated into the referenced Master Agreement between the parties, and governs performance, rates, insurance and operational terms for the specific movement described below.

Scope of Work

Carrier shall pick up, transport and deliver the cargo described below in accordance with the schedules, equipment and special instructions set forth in this Schedule. Carrier shall provide personnel, equipment, permits and incidentals necessary to accomplish the services in a timely, safe and lawful manner.

Insurance and Liability

Carrier shall maintain cargo and liability insurance in amounts sufficient to cover loss or damage to cargo and third-party liability arising from performance of this Schedule. Insurance limits: Cargo $; Liability $.

Except as otherwise agreed in writing, Carrier's liability for loss or damage to cargo shall be governed by the liability provisions of the controlling agreement and applicable law. Carrier shall provide certificates of insurance upon request and shall name Shipper as additional insured where required by the Master Agreement.

Either party may terminate this Transportation Schedule for cause upon written notice if the other party materially breaches its obligations and fails to cure within days after receipt of notice. For convenience, either party may terminate upon days' prior written notice to the other party, subject to payment for services rendered through the termination date.

Confidentiality

Each party shall maintain in confidence all non-public information obtained from the other party in connection with this Transportation Schedule, including commercial terms, pricing, customer data and operational details (Confidential Information). Confidential Information shall not be disclosed to third parties except as required by law or as necessary to perform the services, and each party shall use at least the same degree of care to protect Confidential Information as it uses to protect its own confidential information, but in no event less than reasonable care.


Compliance With Laws

Carrier shall comply with all applicable laws, regulations and industry requirements governing the transport of goods, including licensing, hours-of-service, hazardous materials handling (if applicable), and safety requirements. Carrier shall be solely responsible for fines, penalties or liabilities resulting from Carrier's failure to comply.

Governing Law

This Transportation Schedule shall be governed by and construed in accordance with the laws of the jurisdiction specified in the Master Agreement. If no such jurisdiction is specified in the Master Agreement, the laws of the state where the Shipper's principal place of business is located shall govern, without regard to conflict of law principles.

Entire Agreement

This Transportation Schedule, together with the Master Agreement referenced herein and any incorporated attachments, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings, whether written or oral. No amendment to this Schedule shall be effective unless in writing and signed by authorized representatives of both parties.
