What a Transportation Service Agreement Is and when it applies

A Transportation Service Agreement is a written contract that defines the rights, responsibilities, pricing, and operational terms between a shipper and a carrier or between a carrier and a service subcontractor. It typically covers scope of services, route or geographic limits, delivery times, liability for loss or damage, insurance and indemnity provisions, payment terms, termination rights, and compliance with federal and state transportation rules. Well-drafted agreements reduce disputes, clarify allocation of risk, and document service levels and required supporting documents such as bills of lading, proof of delivery, and insurance certificates.

Why a clear Transportation Service Agreement matters

A comprehensive agreement reduces operational ambiguity, sets liability limits, and establishes payment and insurance expectations, improving dispute resolution and regulatory compliance.

Why a clear Transportation Service Agreement matters

Who commonly prepares and signs this agreement

Transportation Service Agreements are used by businesses that arrange, move, or receive freight and by carriers that provide hauling, courier, or logistics services.

  • Shippers and consignees who need defined pickup, delivery, and liability terms
  • Common carriers and motor carriers providing road, rail, or intermodal transport
  • Third-party logistics providers (3PLs) and freight brokers coordinating multi-leg shipments

Parties often involve legal, operations, and insurance representatives to finalize terms and confirm required supporting documentation before execution.

Step-by-step: completing a Transportation Service Agreement

Follow these practical steps to prepare, review, and sign an agreement with minimal rework.

  • 01
Draft terms: Assemble scope, rates, insurance, and liability clauses.
  • 02
Internal review: Legal and insurance teams confirm risk allocation.
  • 03
Obtain supporting docs: Request certificates of insurance and safety ratings.
  • 04
Execute: Sign, date, and distribute fully executed copies.

How to configure an online agreement workflow

Set up a digital workflow so the right people review and sign in the correct sequence and supporting documents are attached.

Field Configuration
Template Create reusable contract template with fixed and editable fields
Recipient Roles Assign shipper, carrier, broker roles and signing order
Authentication Choose email or SMS code, or stronger methods if required
Conditional Logic Show extra clauses when hauling hazardous materials

Digital signing and system requirements

Confirm platform capabilities before e-signing so authentication, audit trails, and document formats meet legal and insurance needs.

  • File Formats: PDF, DOCX, and fillable forms supported
  • Integrations: CRM and ERP connections (Salesforce, NetSuite)
  • Security: TLS and AES encryption required

Typical execution flow for electronic agreements

A predictable online flow reduces signer friction and speeds completion while maintaining an audit trail.

  • Upload document: Sender uploads template or contract file
  • Place fields: Add signature, date, and attestation fields
  • Invite signers: Send email links or secure signing URLs
  • Complete signing: Signer authenticates and signs; system stores audit log
