This Transportation Shuttle Service Agreement (the Agreement) is entered into by and between:

WHEREAS

WHEREAS, Client requires scheduled and on-demand shuttle transportation services for passengers and related logistics; and

WHEREAS, Service Provider is duly licensed, insured, and experienced in providing shuttle transportation and agrees to perform such services under the terms set forth in this Agreement; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the provision, scheduling, payment and management of shuttle services.

1. Scope of Work

Service Provider shall furnish shuttle vehicles, drivers, fuel, maintenance and necessary personnel to transport passengers between locations and at times described below. Specific route assignments, pickup/drop-off points, schedules and passenger capacity requirements shall be as set forth in the scope below and in any attached schedules.

2. Payment Terms

Client shall pay Service Provider for services performed in accordance with the following payment schedule and amounts. All sums are payable in U.S. dollars unless otherwise agreed in writing.

3. Term and Termination

This Agreement commences on the Service Start Date and continues until the Service End Date unless earlier terminated in accordance with this section.

Either party may terminate for convenience upon written notice in accordance with the notice period above. Either party may terminate immediately for material breach if the breaching party fails to cure within fourteen (14) days of written notice of breach. Termination shall not relieve Client of obligation to pay for services performed through the effective date of termination.

4. Insurance and Compliance

Service Provider shall maintain commercial automobile liability insurance, general liability insurance and workers' compensation as required by law and in amounts sufficient for shuttle operations. Minimum limits: .

Service Provider shall comply with all applicable federal, state and local laws and regulations governing passenger transportation, safety, driver qualifications and vehicle maintenance. Service Provider shall provide certificates of insurance upon request.

5. Safety, Capacity and Accessibility

Service Provider warrants that vehicles will be properly maintained, equipped with required safety devices, and operated by qualified drivers holding required licenses. Passenger capacity per vehicle shall not exceed the manufacturer's rated seating capacity.

Client shall notify Service Provider of any required accessibility accommodations at least in advance.

6. Cancellation and Rescheduling

Cancellation or rescheduling requests must be submitted in writing. Cancellations received less than prior to scheduled departure may be subject to a cancellation fee equal to of the applicable charge.

7. Confidentiality

Each party shall keep confidential and not disclose to third parties any nonpublic business information obtained from the other party in connection with this Agreement, including passenger manifests, pricing, operational plans and other proprietary information, except as required by law. Confidential information does not include information that is or becomes publicly available without breach of this Agreement or independently developed by the receiving party.

8. Indemnification

Each party (Indemnitor) shall indemnify, defend and hold harmless the other party (Indemnitee) from and against any third-party claims, liabilities, losses, damages and expenses arising from Indemnitor's gross negligence or willful misconduct in performing its obligations under this Agreement. This indemnity obligation shall survive termination of this Agreement.

9. Limitation of Liability

Except for liability arising from gross negligence, willful misconduct or indemnification obligations, neither party shall be liable to the other for consequential, incidental, or punitive damages. The aggregate liability of either party for claims arising from this Agreement shall not exceed the total fees paid by Client to Service Provider under this Agreement during the twelve (12) months preceding the claim.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of law principles.

11. Entire Agreement

This Agreement, including any schedules or attachments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, negotiations and understandings, whether written or oral. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

12. Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the billing contact or address listed above or to such other address as either party may designate by notice. Notices are effective upon receipt.
