Parties and Recitals

This Transportation Transit Agreement (the Agreement) is entered into on this day by and between Carrier: with principal address: , and Shipper: with principal address: .

WHEREAS, Carrier is engaged in the business of transporting goods and possesses the necessary equipment, personnel and approvals to provide transportation services; and

WHEREAS, Shipper requires transportation of the shipment described below from the origin to the destination under the terms set forth herein;

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

Payment Terms

Shipper agrees to pay Carrier the transportation charges as set forth below. Charges are due in accordance with the schedule selected and shall be payable in US dollars unless otherwise agreed in writing.

If payment is not received within the agreed period, Carrier may suspend services, recover costs of collection, and assess interest or fees as identified above. Carrier's acceptance of late payment shall not constitute a waiver of rights to recover damages or fees.

Term and Termination

This Agreement commences on and continues until unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for cause upon written notice if the other party materially breaches any obligation herein and fails to cure such breach within days after receipt of notice. Termination for convenience by either party requires days' prior written notice.

Confidentiality

Each party shall treat as confidential all non-public business, technical and financial information disclosed by the other party in connection with this Agreement. Confidential information shall not include information that: (a) is or becomes public through no fault of the receiving party; (b) is rightfully received from a third party without restriction; or (c) is independently developed by the receiving party without use of the disclosing party's confidential information. The receiving party shall use at least the same degree of care to protect such information as it uses to protect its own confidential information, but in no event less than reasonable care.

Carrier Liability and Insurance

Carrier shall maintain insurance coverage customary for the transportation services provided, including liability and cargo insurance. Carrier's liability for loss, damage, or delay of goods shall be limited to the amounts and conditions set forth in this Agreement or applicable law, except where caused by gross negligence or willful misconduct. Shipper is responsible for declaring a higher value in writing and paying any additional charges required for such declared value coverage.

Chain of Custody & Delivery

Carrier shall maintain complete records of pickup, transit and delivery events. Shipper and Carrier acknowledge that delivery shall be evidenced by a signed delivery receipt or electronic proof of delivery. Signatures on delivery receipts establish prima facie proof of receipt of goods in apparent good order and condition, subject to any noted exceptions.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflicts of law provisions. Venue for any action arising under this Agreement shall lie exclusively in the courts of that state.

Entire Agreement

This Agreement, including any incorporated schedules or attachments, constitutes the entire understanding between the parties with respect to the services described herein and supersedes all prior proposals, representations, warranties, and agreements, whether written or oral. Any modification to this Agreement must be in writing and signed by authorized representatives of both parties.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as either party may designate in writing. Notices shall be effective upon receipt.
