RECITALS

WHEREAS, Carrier is duly authorized and engaged in the business of transporting goods by truck and possesses all licenses, permits and insurance required to perform transportation services; and

WHEREAS, Shipper desires Carrier to transport certain goods described herein from the Pickup Location to the Delivery Location in accordance with the terms and conditions set forth in this Agreement; and

WHEREAS, the parties agree that Carrier will perform transportation services on the terms set forth below commencing on Effective Date: .

SCOPE OF WORK

Carrier shall provide transportation services for the goods described below, including pickup, transport, delivery, and customary handling. Carrier shall operate in a commercially reasonable manner and in compliance with all applicable laws and regulations.

PAYMENT TERMS

Compensation: Shipper shall pay Carrier the total amount set forth below for services performed under this Agreement. All amounts are payable in U.S. dollars.

Invoicing and Payment: Carrier shall submit invoices to Shipper in accordance with the Payment Schedule. Unless disputed in writing within seven (7) days of receipt, invoices shall be deemed correct. Disputed amounts shall not relieve Shipper of its obligation to pay undisputed amounts when due.

TERM AND TERMINATION

Term: This Agreement shall commence on Start Date: and continue through End Date: unless earlier terminated in accordance with this section.

Termination for Convenience: Either party may terminate this Agreement for convenience by providing written notice to the other party no fewer than days prior to the effective date of termination.

Termination for Cause: Either party may terminate immediately for cause upon material breach by the other party if such breach is not cured within ten (10) days following written notice.

CONFIDENTIALITY

Each party shall hold in confidence and shall not disclose to any third party any non-public information concerning the other party's business operations, pricing, customer lists, or other information that a reasonable person would consider confidential, except as required by law or to perform obligations under this Agreement. Confidential information shall be used solely for the performance of this Agreement.

INSURANCE; LIABILITY; CLAIMS

Insurance: Carrier shall maintain at its expense: (a) commercial automobile liability insurance with limits not less than $1,000,000 per occurrence; (b) cargo insurance covering loss or damage to goods while in Carrier's custody with coverage not less than $100,000 unless parties have agreed to a different declared value; and (c) workers' compensation as required by law. Carrier shall provide proof of insurance upon request.

Limitation of Liability: Except to the extent caused by Carrier's gross negligence or willful misconduct, Carrier's liability for loss, damage or delay of goods is limited to the lesser of (i) actual proven direct damages, or (ii) declared value per shipment as agreed in writing by Carrier and Shipper. Carrier shall not be liable for consequential, exemplary, punitive or special damages.

Claims Notice: Shipper must report claims for loss, damage or shortage in writing within days of delivery (or expected delivery if lost) and provide reasonable evidence supporting the claim. Failure to timely provide notice shall bar recovery to the extent permitted by law.

INDEMNIFICATION

Each party shall defend, indemnify and hold harmless the other party and its officers, directors, agents and employees from and against any third-party claims, liabilities, losses, damages and expenses (including reasonable attorneys' fees) arising out of the indemnifying party's negligence, willful misconduct or breach of this Agreement.

FORCE MAJEURE

Neither party shall be liable for failure or delay in performing its obligations to the extent caused by events beyond its reasonable control, including but not limited to acts of God, fire, flood, labor disputes, government actions, or civil unrest. The affected party shall promptly notify the other and use commercially reasonable efforts to resume performance.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles.

ENTIRE AGREEMENT

This Agreement, together with any written attachments or schedules executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings, whether oral or written. No amendment to this Agreement shall be effective unless in writing and signed by both parties.
