TRAVEL AGREEMENT

This Travel Agreement (the Agreement) is entered into as of by and between:

RECITALS

WHEREAS, Client desires to procure travel planning, booking and related services for travel described herein; and

WHEREAS, Travel Provider is duly qualified and agrees to provide travel planning, booking, coordination and advisory services in accordance with the terms of this Agreement; and

WHEREAS, the parties agree that the terms set forth in this Agreement shall govern the parties' rights and obligations with respect to the travel services to be provided for the trip commencing on and concluding on .

SCOPE OF WORK

Travel Provider shall perform travel arrangement services including, but not limited to, itinerary design, reservation and booking of transportation and lodging, coordination of ground transfers, procurement of travel insurance if requested, and provision of travel documentation assistance. All bookings are subject to third-party supplier terms and availability.

PAYMENT TERMS

Client shall pay Travel Provider a total fee of (the Fee) for the services described in this Agreement. Unless otherwise agreed in writing, the payment schedule is as follows:

Late payments shall bear interest at the lesser of 1.5% per month or the maximum rate permitted by law, calculated from the due date until paid in full. Client is responsible for any bank fees, credit card fees, or currency conversion fees incurred in payment processing.

TERM AND TERMINATION

This Agreement shall commence on and shall terminate upon completion of the services and final payment or on , whichever occurs later.

Either party may terminate this Agreement for material breach by the other party if the breach remains uncured for a period of days after written notice. Either party may terminate for convenience upon providing no less than days' advance written notice; termination for convenience may be subject to cancellation fees as specified by third-party suppliers.

CANCELLATION, CHANGES AND THIRD-PARTY SUPPLIERS

Client acknowledges that many travel suppliers impose change and cancellation fees beyond Travel Provider's control. Travel Provider will use commercially reasonable efforts to obtain refunds and credits when permitted under supplier rules, but Travel Provider is not liable for supplier-imposed fees or failure to obtain refunds. Any supplier cancellation or change fees are the responsibility of the Client.

CONFIDENTIALITY

Each party shall maintain in confidence all non-public information disclosed by the other party that is identified as confidential or that a reasonable person would consider confidential under the circumstances. Confidential information shall not include information that is or becomes publicly known through no breach of this Agreement, is rightfully received from a third party without restriction, or is independently developed without use of the other party's confidential information.

LIMITATION OF LIABILITY

Except for willful misconduct or gross negligence, Travel Provider's aggregate liability to Client for any claim arising under or relating to this Agreement shall not exceed the total fees paid by Client to Travel Provider under this Agreement. Neither party shall be liable for indirect, incidental, special, or consequential damages, including lost profits.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of , without regard to conflict of law principles. Any action arising under this Agreement shall be brought exclusively in the state or federal courts located in the chosen jurisdiction.

ENTIRE AGREEMENT

This Agreement, including any schedules, quotations and written amendments signed by both parties, contains the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written. No amendment or waiver shall be valid unless in a writing signed by both parties.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Notices shall be given in writing to the addresses provided above and shall be effective upon receipt.
