WHEREAS

WHEREAS the Authorizing Entity maintains authority to approve, fund, and oversee business travel on behalf of its operations and projects; and

WHEREAS the Traveler requires authorization to undertake the business travel described below in order to fulfill duties necessary to the Authorizing Entity's objectives and to comply with applicable budgetary and policy constraints; and

WHEREAS this Travel Authorization Directive sets forth the scope, financial responsibilities, conditions of approval, and the respective duties of the Authorizing Entity and the Traveler for the period specified below.

SCOPE OF WORK (TRAVEL PURPOSE)

The Traveler is authorized to travel for the business purpose described below. The Traveler shall conduct work consistent with the Authorizing Entity's objectives, maintain professional conduct at all times, and submit required post-travel documentation within the time frames specified in this Directive.

ESTIMATED COSTS & PAYMENT TERMS

The Authorizing Entity will reimburse or directly fund costs in accordance with the terms below. All reimbursements require submission of itemized receipts and expense forms within fourteen (14) calendar days of return unless otherwise approved in writing.

Schedule: Reimbursements will be processed upon receipt of compliant expense documentation. Travel advances, if provided, must be repaid or reconciled within thirty (30) calendar days following return.

Late Fee: Late reconciliation of travel advances or late payment owed by the Traveler to the Authorizing Entity shall incur an administrative charge equal to of the outstanding balance per month or the maximum permitted by law, whichever is less.

TERM AND TERMINATION

This Directive is effective as of Start Date: and terminates on End Date: unless earlier terminated in accordance with the provisions below.

Either party may terminate this Directive for convenience upon written notice to the other party not less than days prior to the intended termination date. Termination shall not relieve the Traveler of obligations to return unspent advances, submit required reports, or otherwise comply with post-termination responsibilities.

CONFIDENTIALITY

The Traveler shall maintain as confidential all non-public information acquired in the course of travel and shall not disclose any confidential information of the Authorizing Entity or third parties without prior written authorization. This obligation survives termination of this Directive for a period of three (3) years, except for trade secrets and other information subject to longer protection under applicable law.

COMPLIANCE, INSURANCE AND LIABILITY

The Traveler shall comply with all applicable travel, safety and security policies of the Authorizing Entity and applicable law. The Traveler must maintain required insurance and is responsible for any personal liabilities or fines arising from misconduct. The Authorizing Entity is not liable for the Traveler's personal acts outside the scope of approved business duties.

GOVERNING LAW

This Directive shall be governed by and construed in accordance with the laws of the jurisdiction of the Authorizing Entity's principal place of business. Any dispute arising under or in connection with this Directive shall be subject to the exclusive or agreed dispute resolution processes set forth by the Authorizing Entity.

ENTIRE AGREEMENT

This Directive, including any schedules or attachments incorporated by reference and any written approvals issued hereunder, constitutes the entire agreement between the Authorizing Entity and the Traveler with respect to the subject matter and supersedes all prior understandings and agreements. No amendment shall be effective unless executed in writing by authorized representatives of both parties.
