TRAVEL BOARDING AGREEMENT

Recitals

WHEREAS, Service Provider represents that it is engaged in the business of arranging boarding and related travel support services, and possesses the necessary staff, facilities and licenses to provide such services in accordance with this Agreement; and

WHEREAS, Traveler desires to engage Service Provider to provide boarding and associated services for the travel event described herein, and Service Provider agrees to provide such services subject to the terms and conditions set forth below.

Scope of Services

The Service Provider will perform the services described below for the Traveler in connection with the boarding and travel arrangements. Services shall include, at a minimum, transportation coordination, accommodation booking assistance, check‑in facilitation, on‑site support as specified, and reasonable care for personal effects as set forth in this Agreement.

Payment Terms

Traveler shall pay the Service Provider the fees set forth below in consideration for the services. All fees are due in accordance with the schedule and are nonrefundable except as expressly provided in this Agreement.

Late payments shall incur a late fee equal to: of the unpaid amount per month, or the maximum permitted by applicable law, whichever is less.

Term and Termination

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience by providing written notice to the other party at least days prior to the intended termination date. Termination for material breach shall be effective upon written notice if the breach is not cured within fourteen (14) days of receipt of such notice, unless otherwise stated.

Confidentiality

Each party shall maintain in confidence all nonpublic information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Confidential Information shall not include information that (i) is or becomes generally available to the public through no wrongful act of the receiving party; (ii) was in the receiving party's possession prior to disclosure; or (iii) is independently developed by the receiving party without use of the disclosing party's Confidential Information. The receiving party shall use Confidential Information only for performance under this Agreement.

Liability, Representations & Waiver

Traveler represents that they are fit to travel and have disclosed any medical conditions, mobility limitations or other special needs. Traveler acknowledges and agrees that Service Provider will exercise reasonable care in providing services but shall not be responsible for losses or delays caused by factors beyond its control, including but not limited to acts of third parties, weather, carrier delays, strikes, or governmental action.

To the maximum extent permitted by law, the parties agree that Service Provider's total liability for any claim arising under this Agreement shall be limited to direct damages not to exceed the total fees paid by Traveler under this Agreement. In no event shall Service Provider be liable for consequential, incidental, punitive or special damages.
