WHEREAS

WHEREAS, the Service Provider has incurred travel-related expenses on behalf of the Client in connection with authorized business activities described in this Agreement; and

WHEREAS, the Client agrees to reimburse the Service Provider for the documented, reasonable, and authorized expenses upon presentation of itemized receipts and compliance with the payment terms set forth herein; and

WHEREAS, the parties desire to record in writing the obligations, documentation requirements, and remedies related to such reimbursements.

SCOPE OF WORK

The Service Provider performed travel and related services for the Client as described below. The description should identify trip purpose, locations, and services performed.

ITEMIZED EXPENSES

PAYMENT TERMS

The Client shall reimburse the Service Provider for the documented expenses set forth in this Receipt within days of receipt and approval. Reimbursement is conditioned upon delivery of original or legible electronic receipts and compliance with the Client's travel policy.

Overdue reimbursements shall accrue interest at the specified late fee above or the maximum rate permitted by applicable law, whichever is lower. The Client may withhold amounts disputed in good faith pending resolution; undisputed amounts must be paid per schedule.

RECEIPTS AND SUPPORTING DOCUMENTATION

The Service Provider certifies that the attached receipts and supporting documentation are true, complete, and directly related to authorized business travel. The Client's approval of reimbursement is subject to verification of the receipts.

TERM AND TERMINATION

This Agreement commences on and shall continue until unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon days' written notice. Termination shall not relieve the Client of obligations to reimburse for properly documented expenses incurred prior to the effective date of termination.

CONFIDENTIALITY

Each party shall keep confidential all non‑public financial and business information disclosed in connection with this Agreement, including expense details and supporting documentation, and shall not disclose such information except (i) to its employees and advisors who have a need to know and are bound by confidentiality obligations, (ii) as required by law, or (iii) with the prior written consent of the other party. Confidentiality obligations shall survive termination for .

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of without regard to conflict of law principles. Venue for any dispute arising under this Agreement shall be the state or federal courts located within that jurisdiction.

ENTIRE AGREEMENT

This document constitutes the entire agreement between the parties with respect to reimbursement of the travel expenses identified herein and supersedes all prior representations, negotiations, and agreements, whether written or oral. Any amendment must be in writing and signed by authorized representatives of both parties.
