TRAVEL FLIGHT CONTRACT

This Travel Flight Contract ("Contract") is entered into between the parties identified below on the Effective Date set forth herein. The parties agree as follows:

WHEREAS

WHEREAS, the Service Provider arranges and issues flight transportation and related travel services for paying customers and represents that it holds all necessary authority to procure such services; and

WHEREAS, the Client seeks to purchase flight tickets and related services for travel and agrees to be bound by the terms and conditions of this Contract; and

WHEREAS, the parties desire to set forth the services, payment terms, confidentiality obligations and other material terms governing the provision of those services.

SCOPE OF SERVICES

The Service Provider will procure and issue flight transportation and associated travel services described below in accordance with the terms of this Contract. Services may include ticket issuance, itinerary management, seat assignments, baggage allowances, and coordination of schedules with carriers.

Payment Schedule: The deposit is due upon execution of this Contract. The remaining balance is due no later than the Balance Due By date above. Failure to timely pay the balance may result in ticket cancellation under the Cancellation terms below.

Late Fee: A late fee of of the overdue amount will be charged per month, calculated daily from the due date until paid in full.

Termination for Convenience: Either party may terminate this Contract upon providing written notice at least days prior to the intended termination date. Termination does not relieve the Client of obligation to pay for services already rendered or non-refundable ticket components.

Termination for Cause: Either party may terminate immediately for material breach if the breaching party fails to cure the breach within 10 days of written notice.

CANCELLATION, REFUND AND CHANGES

Cancellation by Client: Cancellation charges will reflect carrier rules, non-refundable fares, and administrative fees. Refunds, if any, will be issued less applicable carrier penalties and non-refundable amounts. Estimated refund percentage for cancellations made more than days prior to departure:

Changes: Any change to confirmed itinerary requested by the Client is subject to carrier change fees, fare differences and an administrative fee of $.

CONFIDENTIALITY

Each party shall keep confidential all non-public business information disclosed by the other party in connection with this Contract, including passenger personal data, pricing, reservations and commercial terms ("Confidential Information"), and shall not disclose Confidential Information except to its employees, agents or contractors who have a need to know and who are bound by confidentiality obligations at least as restrictive as those herein. Confidential Information does not include information that is or becomes public through no fault of the receiving party or that is required to be disclosed by law.

LIABILITY, INSURANCE & FORCE MAJEURE

Limitation of Liability: Except for gross negligence or willful misconduct, the Service Provider's liability for claims arising from or related to this Contract shall be limited to direct damages not to exceed the total amount paid by the Client to the Service Provider under this Contract. In no event shall either party be liable for consequential, incidental, special or punitive damages.

Insurance: The Client is responsible for procuring travel, health, and baggage insurance as appropriate. The Service Provider may require proof of adequate insurance for certain itineraries.

Force Majeure: Neither party shall be liable for delay or failure in performance resulting from acts beyond its reasonable control, including but not limited to natural disasters, governmental action, pandemics, strikes, war or carrier cancellations. The affected party shall provide prompt notice and use commercially reasonable efforts to mitigate the effects.

GOVERNING LAW

This Contract shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of laws rules.

ENTIRE AGREEMENT

This Contract, including the itinerary and payment terms set forth herein, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior oral or written agreements, representations and understandings. Any modification must be in writing and signed by both parties.

MISCELLANEOUS PROVISIONS

Assignment: Neither party may assign its rights or delegate its obligations under this Contract without the prior written consent of the other party, except that the Service Provider may assign to an affiliate or successor in interest.

Notices: All notices must be in writing and delivered to the addresses provided in this Contract or to an alternate address designated in writing by a party.
