Recitals

WHEREAS, Travel Provider is engaged in the business of arranging and delivering travel services, including but not limited to transportation, lodging, transfers, and itinerary coordination;

WHEREAS, Client desires that Travel Provider arrange travel services for Client and/or Client's travelers in accordance with the itinerary and terms set forth in this Agreement; and

WHEREAS, Travel Provider represents that it has the authority and expertise to procure such services and the parties wish to set forth their respective rights and obligations in writing.

Scope of Work

Travel Provider shall provide the travel services described in the itinerary below and any ancillary services agreed in writing. Services include booking and confirmation of transportation, accommodations, ground transfers, guided activities when specified, and coordination of documentation required for travel. Travel Provider shall act as agent on behalf of Client for the procurement of third-party services, and shall use reasonable efforts to ensure delivery consistent with industry standards.

All payments shall be made in the currency specified in the invoice. Travel Provider may withhold confirmations or suspend services for overdue amounts and shall be entitled to recover collection costs and attorneys' fees incurred in enforcing payment obligations.

Either party may terminate this Agreement for material breach that remains uncured thirty (30) days after written notice. Client may cancel services subject to cancellation penalties as set forth in the payment schedule and supplier terms; Travel Provider will use commercially reasonable efforts to obtain refunds where permitted by suppliers but is not liable for non‑refundable supplier fees.

Confidentiality

Each party shall keep confidential all non-public information obtained in connection with this Agreement and shall not disclose such information to third parties except as required to perform obligations under this Agreement or as required by law. Confidential information excludes information that is or becomes publicly available other than by breach of this provision.

Liability and Insurance

Travel Provider acts as an agent for third‑party providers (airlines, hotels, carriers, tour operators). Travel Provider's liability for any claim, whether in contract, tort or otherwise, is limited to the fees paid by Client to Travel Provider for the portion of services giving rise to the claim. Client is responsible for maintaining adequate travel and health insurance and for complying with all entry and health requirements imposed by authorities or suppliers.

Force Majeure

Neither party shall be liable for delays or failures in performance resulting from events beyond its reasonable control, including acts of God, government actions, pandemics, strikes, natural disasters, or supplier insolvency. Parties shall use reasonable efforts to mitigate the effect of such events and to reschedule services where feasible.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction selected by the parties below. Any dispute arising under this Agreement shall be subject to the exclusive jurisdiction of the courts located in that jurisdiction.

Client acknowledges that suppliers (carriers, hotels, tour operators) impose their own terms and conditions, including limitations on liability and refund policies. Travel Provider shall not be responsible for supplier failures to perform except as expressly set forth in this Agreement.
