Either party may terminate this Agreement for material breach if the breaching party fails to cure within the notice period above. Upon termination, Client shall pay Photographer for all services performed and non-cancelable expenses incurred through the effective date of termination.

CONFIDENTIALITY

Photographer and Client each acknowledge that non-public information exchanged in connection with this Agreement is confidential. Neither party shall disclose confidential information except as required by law; confidentiality obligations survive termination for a period of three (3) years. Confidential information does not include information which is or becomes publicly available through no fault of the receiving party.

RIGHTS, USAGE & LICENSE

Photographer retains copyright in all images. Subject to full payment, Photographer grants Client a non-exclusive, worldwide license to use the delivered images for the purposes set forth below.

INDEMNIFICATION & LIMITATION OF LIABILITY

Each party agrees to indemnify, defend and hold harmless the other party from liabilities, damages, costs and expenses arising from its breach of this Agreement or its negligent or willful acts. Except for willful misconduct or gross negligence, Photographer's total liability under this Agreement shall not exceed the total fees paid by Client to Photographer under this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to its conflicts of law principles.

ENTIRE AGREEMENT

This Agreement, including any exhibits or schedules incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior proposals, negotiations, and agreements, whether written or oral. Any amendment must be in writing and signed by both parties.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Notices shall be given in writing and delivered to the addresses provided by the parties. Headings are for convenience only and do not affect interpretation.
