TRAVEL SERVICE AGREEMENT

This Travel Service Agreement ("Agreement") is entered into by and between:

WHEREAS

WHEREAS, Client desires to engage Service Provider to arrange travel components, including but not limited to transportation, lodging, tours, and related services, in accordance with the terms set forth herein; and

WHEREAS, Service Provider represents that it has the expertise, licenses, and relationships necessary to procure travel products and coordinate travel services and agrees to provide such services under the terms and conditions of this Agreement; and

WHEREAS, the parties intend that this Agreement govern their respective rights and obligations relating to the travel services described below.

SCOPE OF WORK

Service Provider shall provide travel planning, booking, coordination and concierge services as specifically described in the itinerary and work statement provided to Client. Services may include reservation procurement, ticketing coordination, accommodation bookings, transfer arrangements, itinerary preparation, and on‑trip support.

PAYMENT TERMS

Client agrees to pay Service Provider the fees and reimbursements as set forth below. All fees are stated in the currency specified by Service Provider unless otherwise agreed in writing.

Payment schedule and milestones (if applicable):

Late payments shall bear interest at the rate of on unpaid amounts, and Client shall be liable for collection costs, including reasonable attorney fees. Service Provider may suspend services for nonpayment after providing days' written notice.

CANCELLATION, REFUNDS AND ADDITIONAL CHARGES

If Client cancels services, cancellation fees will apply based on timing and nonrefundable vendor deposits. Cancellation fees will include amounts already committed to third-party suppliers plus an administrative cancellation fee of . Refunds, if any, will be issued after reconciliation of supplier obligations.

TERM AND TERMINATION

This Agreement shall commence on and end on unless earlier terminated as provided herein.

Either party may terminate this Agreement for material breach by the other party if such breach remains uncured for a period of days following receipt of written notice specifying the breach. Either party may also terminate for convenience upon providing days' prior written notice; Client will remain responsible for costs incurred and nonrefundable supplier amounts.

CONFIDENTIALITY

Each party shall hold in confidence all nonpublic, proprietary information disclosed by the other party in connection with this Agreement ("Confidential Information") and shall not disclose such information to third parties except to those employees, agents, contractors or suppliers who have a need to know and are bound to maintain confidentiality. Confidential Information does not include information that is (a) in the public domain through no fault of the receiving party, (b) independently developed without use of the disclosing party's Confidential Information, or (c) required to be disclosed by law or regulation, provided the disclosing party is given prompt written notice and the scope of disclosure is limited to the extent permitted.

LIMITATION OF LIABILITY; INSURANCE

Service Provider's liability for direct damages arising from its performance under this Agreement shall be limited to the fees paid by Client to Service Provider under this Agreement during the twelve (12) months preceding the claim. In no event shall either party be liable for consequential, incidental, special or punitive damages. Service Provider shall maintain commercially reasonable insurance coverage appropriate for the services provided and shall provide evidence of such insurance upon reasonable request.

FORCE MAJEURE

Neither party shall be liable for delay or failure to perform its obligations (other than payment obligations) under this Agreement if such delay or failure is caused by events beyond that party's reasonable control, including acts of God, strikes, governmental actions, pandemics, war, civil unrest, or supplier failure ("Force Majeure Event"). The affected party shall use commercially reasonable efforts to mitigate the effect of the Force Majeure Event.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction specified below without regard to its conflict of laws principles. The parties shall attempt in good faith to resolve disputes amicably. If the parties are unable to resolve a dispute within thirty (30) days, the dispute shall be resolved by binding arbitration in the jurisdiction selected below unless otherwise agreed in writing.

ENTIRE AGREEMENT

This Agreement, including any attachments, itineraries, booking confirmations and written amendments executed by the parties, constitutes the entire agreement between Client and Service Provider with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, agreements, representations and warranties, whether written or oral. No modification of this Agreement shall be effective unless in writing and signed by both parties.

REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that it has the full power and authority to enter into this Agreement and perform its obligations hereunder and that the execution and performance of this Agreement does not and will not violate any other agreement, law, or order to which it is subject.

All notices, requests, demands and other communications hereunder shall be in writing and shall be deemed to have been duly given when delivered personally, sent by certified mail (return receipt requested), nationally recognized overnight courier, or by confirmed email to the contact information set forth below.
