TRAVEL TERMS AGREEMENT

This Travel Terms Agreement (the "Agreement") is entered into as of Date: by and between Client Name: and Provider Name: .

RECITALS

WHEREAS, Provider is engaged in the business of arranging travel, transportation, accommodations and related services for travelers and has the expertise to coordinate the itinerary described herein; and

WHEREAS, Client desires to retain Provider to coordinate travel services under the terms and conditions set forth in this Agreement, and Provider is willing to provide such services subject to the terms herein.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

1. SCOPE OF SERVICES

Provider will arrange and coordinate travel services for Client as described below. The services shall include itinerary planning, booking of transportation and accommodations, ticketing, ground transfers, and other ancillary services as specified by the parties. Specific services, exclusions and special requirements are described in the field below.

2. PAYMENT TERMS

Client shall pay Provider the total fee for services and third‑party supplier costs as set forth below. All payments are non-transferable except as otherwise provided in this Agreement.

Late payments shall accrue interest at % per month (or the maximum permitted by law, if lower) on amounts past due, together with any collection costs, including reasonable attorneys' fees.

3. TERM AND TERMINATION

This Agreement commences on Start Date: and shall end on End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon written notice at least days prior to the effective termination date. Provider may terminate immediately if Client fails to pay amounts when due or breaches material obligations under this Agreement.

4. CANCELLATION AND REFUND POLICY

Except as otherwise stated in supplier terms, cancellations by Client are subject to cancellation fees and any non‑refundable supplier charges. Provider will use commercially reasonable efforts to obtain refunds from suppliers but cannot guarantee refunds.

5. LIABILITY, INSURANCE, AND HEALTH

Client acknowledges travel involves inherent risks. Provider shall exercise reasonable care in selecting suppliers but is not liable for acts, omissions or defaults of third‑party suppliers. Provider's total liability for direct damages arising from Provider's breach shall not exceed the total amount paid by Client to Provider under this Agreement.

Client is responsible for obtaining appropriate travel, medical, and evacuation insurance and must disclose any medical conditions or special needs that could affect services. Client confirms that they have procured or will procure adequate insurance: I acknowledge I will maintain travel and medical insurance.

6. CONFIDENTIALITY

Each party shall keep confidential all non‑public information obtained from the other party in connection with this Agreement and shall not disclose such information to third parties except as necessary to perform obligations under this Agreement, to comply with law, or with the disclosing party's written consent. Confidential information does not include information that is or becomes publicly available through no breach by the receiving party.

7. FORCE MAJEURE

Neither party will be liable for delays or failures in performance resulting from causes beyond its reasonable control, including but not limited to natural disasters, strikes, pandemics, acts of government, civil unrest, or supplier insolvency. Affected obligations will be suspended for the duration of the force majeure event, and the parties will make reasonable efforts to mitigate the effects.

8. AMENDMENTS; ASSIGNMENT

This Agreement may be amended only by a written instrument signed by both parties. Neither party may assign its rights or delegate its duties under this Agreement without the prior written consent of the other party, except that Provider may assign to an affiliate or successor in interest.

9. INDEMNIFICATION

Client shall indemnify, defend and hold harmless Provider and its officers, employees and agents from and against any and all claims, liabilities, losses, damages and expenses (including reasonable attorneys' fees) arising out of Client's negligence, willful misconduct, breach of this Agreement, or failure to disclose material health or travel information.

10. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of: without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the courts located in that jurisdiction for disputes arising under this Agreement.

11. ENTIRE AGREEMENT

This Agreement, together with any appendices, terms of suppliers expressly incorporated herein, and written amendments signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral.

12. NOTICES

All notices under this Agreement shall be in writing and delivered to the addresses below by hand, certified mail, or overnight courier and shall be deemed given upon receipt.

Each party represents and warrants that it has the authority to enter into this Agreement and that its performance will not violate any applicable law or agreement to which it is a party.
