TRAVEL TRIP AGREEMENT

This Travel Trip Agreement (the Agreement) is entered into as of , by and between:

WHEREAS

WHEREAS, Party A is engaged in the business of arranging and providing travel services, including transportation, accommodations and ancillary services; and

WHEREAS, Party B desires to retain Party A to arrange and provide a trip identified below on the terms and conditions set forth herein; and

WHEREAS, Party A represents that it has the authority and capacity to arrange the services described in this Agreement and Party B agrees to procure such services subject to the terms below.

SCOPE OF SERVICES

Party A will provide travel arrangement services including, but not limited to, booking transportation, reserving accommodations, arranging ground transfers, coordinating guided activities, and securing tickets or permits as expressly set forth in the itinerary. Party A will use commercially reasonable efforts to procure the services selected by Party B and will act as agent only unless a written agreement states otherwise.

Late Payment: Payments not received by the balance due date are subject to a late fee equal to of the overdue amount and interest at the lesser of 1.5% per month or the maximum permitted by law. Party A reserves the right to suspend or cancel arrangements if payment is not timely.

Refunds and cancellations are governed by the cancellation policy set forth below and by the refund policies of third-party suppliers; Party A may retain non-refundable supplier costs and reasonable administrative fees.

Either party may terminate this Agreement for material breach by the other party following thirty (30) days' prior written notice and an opportunity to cure. Party A may terminate immediately if Party B fails to pay required amounts or engages in conduct that jeopardizes the safety of other travelers or violates laws or supplier terms.

CANCELLATION, CHANGES, AND THIRD-PARTY SUPPLIERS

All reservations are subject to supplier terms and availability. Changes requested by Party B may be subject to additional fees. Party A is not responsible for acts or omissions of third-party suppliers including carriers, hotels, or local operators; liability is limited as set forth in this Agreement.

CONFIDENTIALITY

Each party agrees that all non-public information, including pricing, itineraries, traveler personal information, supplier terms and other proprietary information disclosed by one party to the other in connection with the Agreement shall remain confidential and shall not be disclosed to any third party except as required to fulfill the services or as required by law. Confidential information does not include information that is or becomes publicly known through no breach of this Agreement or information independently developed by the receiving party.

LIABILITY AND INSURANCE

Party A's liability for any claim arising from performance of this Agreement shall be limited to direct damages up to the total amount paid by Party B under this Agreement, except to the extent such damages are caused by gross negligence or willful misconduct. Neither party shall be liable for consequential, incidental, or punitive damages. Party B is encouraged to obtain travel insurance covering cancellation, medical expenses, and evacuation.

FORCE MAJEURE

Neither party shall be liable for delay or failure to perform to the extent caused by events beyond its reasonable control, including acts of God, war, terrorism, strikes, governmental restrictions, epidemics, pandemics, or supplier insolvency. In such events, Party A will use reasonable efforts to assist Party B in arranging alternatives, but additional costs may be charged to Party B.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by the laws of without regard to conflict of laws principles. The parties agree to attempt good-faith negotiation of any dispute; if unresolved, the dispute shall be resolved by binding arbitration in the chosen jurisdiction unless both parties agree in writing to litigation.

ENTIRE AGREEMENT

This Agreement, together with any written itinerary, supplier contracts, and payment schedules expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior understandings and agreements, whether written or oral. Any amendment must be in writing and signed by both parties.

REPRESENTATIONS AND WARRANTIES

Each party represents that it has the authority to enter into this Agreement and that the information provided to the other party is accurate. Party B warrants that travelers possess valid passports, visas, and vaccinations required for travel and will comply with all supplier and destination requirements.

NOTICES

All notices shall be in writing and delivered to the contact information provided above and shall be effective upon receipt.

By signing below, the parties acknowledge that they have read, understand and agree to be bound by the terms of this Agreement and that Party B has been informed of all material supplier terms, cancellation fees and recommended travel insurance.
