TRAVEL TRIP AGREEMENT

This Travel Trip Agreement (the Agreement) is entered into as of Date: by and between Client Name: and Service Provider Name: .

WHEREAS

WHEREAS, Client desires to retain Service Provider to arrange and provide certain travel services for a trip described herein; and

WHEREAS, Service Provider is duly qualified and experienced to provide travel planning, booking, coordination and related services and is willing to perform such services under the terms and conditions set forth in this Agreement; and

WHEREAS, the parties wish to set forth the scope, compensation, responsibilities and legal terms governing the travel arrangements to be provided by Service Provider.

SCOPE OF WORK

Service Provider shall perform the following services on behalf of Client. The description below shall govern the travel arrangements, supplier bookings, and coordination duties to be performed. Client acknowledges that Service Provider will act as agent in making reservations and will contract with independent suppliers on Client's behalf.

PAYMENT TERMS

Client shall pay Service Provider the fees set forth below for services and third-party supplier charges. All amounts are in the currency indicated. Unless otherwise specified, payments are non-refundable to the extent paid to third-party suppliers; Service Provider will otherwise apply refund policies in accordance with suppliers' terms.

Late Payment: If Client fails to timely pay any undisputed amount, Service Provider may assess a late fee of on the overdue amount, or the maximum allowed by applicable law if less. Service Provider reserves the right to suspend services and cancel unconfirmed reservations for delinquent accounts after providing written notice.

TERM AND TERMINATION

Term: This Agreement commences on Start Date: and continues until completion of the services described or End Date: , unless earlier terminated in accordance with this section.

Termination for Convenience: Either party may terminate this Agreement upon written notice delivered at least days prior to the intended termination date. Client remains responsible for non-refundable supplier charges and any administrative fees incurred prior to termination.

Termination for Cause: Either party may terminate immediately upon material breach by the other party that is not cured within fourteen (14) days of written notice. Upon termination for cause by Service Provider for Client's breach, all unpaid fees and costs incurred become immediately due and payable.

CANCELLATION AND REFUND POLICY

Cancellation charges vary depending on supplier policies. Client acknowledges that certain deposits and payments may be non-refundable. Service Provider will make reasonable efforts to obtain refunds where permitted but is not liable for supplier-imposed cancellation penalties. Any refunds issued by suppliers will be processed in accordance with supplier timelines and less any non-recoverable fees and Service Provider administrative charges.

CONFIDENTIALITY

Each party agrees that all non-public information disclosed in connection with this Agreement, including travel itineraries, pricing, and personal information of travelers, is confidential and shall not be used or disclosed except as necessary to perform obligations hereunder or as required by law. Confidential information excludes information that is or becomes public through no breach of this Agreement.

LIMITATION OF LIABILITY; INSURANCE

Service Provider acts solely as agent for suppliers and shall not be liable for injuries, losses, delays, or damages resulting from acts or omissions of third-party suppliers. Except for willful misconduct or gross negligence, Service Provider's total liability under this Agreement is limited to refund of fees actually paid to Service Provider for the portion of services giving rise to liability. Client is advised to obtain travel insurance to cover trip costs, cancellations, medical emergencies, and other contingencies.

FORCE MAJEURE

Neither party is liable for failure to perform due to events beyond its reasonable control, including but not limited to acts of God, strikes, pandemics, government action, war, or natural disasters. In such event, the affected party shall promptly notify the other and the parties will cooperate to minimize disruption and to arrange reasonable alternatives where practicable.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles.

ENTIRE AGREEMENT

This Agreement, together with any written appendices or supplier confirmations expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior negotiations, representations, or agreements, whether written or oral. Any amendment must be in writing and signed by both parties.
