TRAVEL TRIPS SERVICE AGREEMENT

This Travel Trips Service Agreement (the Agreement) is entered into as of by and between (Service Provider) and (Client).

WHEREAS

WHEREAS, Service Provider is engaged in the business of arranging, coordinating and providing travel services, including but not limited to transportation, lodging, and itinerary planning; and

WHEREAS, Client desires to retain Service Provider to coordinate one or more travel trips as set forth in this Agreement and Service Provider agrees to provide such services subject to the terms and conditions herein.

WHEREAS, the parties intend for this Agreement to define the scope of services, payment terms, confidentiality obligations, allocation of risk and other material provisions governing each trip arranged under this Agreement.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure the breach within days after written notice. Termination for convenience by Client requires days' written notice and may be subject to cancellation fees set forth in the refund policy.

CONFIDENTIALITY

Each party will hold confidential and not disclose to third parties any non-public information concerning the other party's business, customers or travel arrangements provided in connection with this Agreement. Confidential information does not include information that is or becomes public through no breach of this Agreement, that was rightfully known prior to disclosure, or that is rightfully received from a third party without obligation of confidentiality.

LIABILITY, INSURANCE & INDEMNITY

Client acknowledges that travel involves inherent risks. Client is solely responsible for obtaining travel, health and cancellation insurance sufficient to cover losses. Service Provider will not be liable for loss, injury, delay or damage resulting from acts of third-party suppliers, weather, strikes, governmental actions, pandemics or force majeure events beyond Service Provider's reasonable control.

Client agrees to indemnify, defend and hold harmless Service Provider from and against any claims, liabilities, expenses and damages arising from Client's actions or omissions, including failure to disclose medical or mobility limitations or to obtain required travel documentation.

Client Certification of Insurance:   I confirm I have reviewed and obtained appropriate travel insurance covering medical, evacuation and cancellation risks.

GOVERNING LAW

This Agreement will be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles.

ENTIRE AGREEMENT

This Agreement, together with any schedules, itineraries and written confirmations signed by the parties, constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior negotiations, representations or agreements, whether written or oral. Any modification must be in writing and signed by both parties.

ACKNOWLEDGMENTS

Client acknowledges that third-party suppliers' terms and conditions, including limitations of liability and cancellation fees, may apply to certain services and that Service Provider acts as agent for such suppliers where applicable.
