TRAVEL VACATION AGREEMENT

This Travel Vacation Agreement ("Agreement") is entered into on between Travel Provider: located at and Client Name: (collectively, the "Parties").

WHEREAS

WHEREAS, Travel Provider arranges and coordinates travel, accommodations, transportation and related services for clients on a fee-for-service basis and represents that it holds all necessary licenses, authorizations and supplier relationships to provide the services described herein; and

WHEREAS, Client desires to retain Travel Provider to arrange a vacation package, itinerary and related services for the Client and any listed travelers pursuant to the terms, conditions and payment schedule set forth in this Agreement; and

WHEREAS, the Parties intend that this Agreement define the scope of services, payment obligations, risk allocation and the respective rights and remedies of the Parties.

PAYMENT TERMS

Client shall pay Travel Provider the total fee for services described in the Scope of Work. Payment terms below are binding; failure to pay when due constitutes a breach and permits Provider to suspend or cancel services as set forth in this Agreement.

TERM AND TERMINATION

This Agreement commences on Start Date: and automatically terminates on End Date: unless earlier terminated as provided below.

CONFIDENTIALITY

Each Party agrees that Confidential Information disclosed by the other Party in connection with this Agreement shall be held in confidence and shall not be disclosed to third parties except as reasonably necessary to perform the services or as required by law. Confidential Information does not include information that is or becomes publicly available without breach, independently developed, or rightfully received from a third party without confidentiality obligations. Upon termination, each Party shall return or destroy Confidential Information of the other Party upon written request.

LIABILITY, INSURANCE AND WAIVER

Travel Provider acts as intermediary between Client and third-party suppliers. Provider shall exercise reasonable care in selecting suppliers but is not liable for supplier acts or omissions. Client assumes responsibility for personal safety, compliance with health and entry requirements and for procuring travel insurance. Except for willful misconduct or gross negligence, Provider's liability for any claim arising under or related to this Agreement shall be limited to the amounts actually paid by Client to Provider for the affected portion of the services.

By signing below, Client acknowledges receipt of itinerary and understands the cancellation and refund provisions. Client confirms that they have been advised to obtain travel insurance and accepts responsibility for ensuring valid travel documents for all travelers.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of laws principles. Venue for any dispute shall be in the appropriate state or federal court located in that state.

ENTIRE AGREEMENT

This Agreement, including any schedules, attachments or supplier confirmations incorporated by reference, constitutes the entire agreement between the Parties relating to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written. Any amendment must be in writing and signed by both Parties.
