TRAVEL WORKSHOP AGREEMENT

Recitals

WHEREAS, Organizer operates and promotes educational travel workshops and intends to host a workshop entitled to be held in ; and

WHEREAS, Presenter has expertise in the subject matter of the workshop and agrees to prepare and deliver instruction, demonstrations, and associated materials as described in this Agreement; and

WHEREAS, the parties desire to set forth the terms under which Presenter will deliver the workshop services and Organizer will pay and provide travel-related support.

Scope of Work

Presenter will prepare, present and conduct the workshop, including delivery of all lectures, demonstrations, handouts, and digital materials necessary for the workshop. Presenter will comply with Organizer’s reasonable schedule and venue rules and will ensure that materials are suitable for the intended audience.

Workshop Schedule

Scheduled workshop date(s): From through . Any change of dates requires written agreement by both parties.

Travel and Accommodation

Organizer agrees to arrange or reimburse reasonable travel and accommodation for Presenter as follows. Reimbursement shall be limited to the amounts and categories expressly set forth below and otherwise in accordance with Organizer’s written travel policy.

Payment Terms

In consideration for services, Organizer shall pay Presenter the fees and on the schedule set forth below. Fees cover Presenter’s time, preparation, and ordinary reasonable materials unless otherwise agreed in writing.

Term and Termination

This Agreement commences on and terminates on unless earlier terminated in accordance with this Section.

Either party may terminate for convenience upon days’ prior written notice. Either party may terminate immediately for material breach if the breaching party fails to cure within days after receipt of written notice specifying the breach.

Confidentiality

Each party will treat as confidential all non-public information obtained from the other party in connection with this Agreement. Confidential information does not include information that is (a) already known to the receiving party without restriction, (b) becomes publicly known through no fault of the receiving party, or (c) is rightfully received from a third party without breach of any obligation of confidentiality. The receiving party shall use confidential information solely for the performance of this Agreement. The confidentiality obligations will survive termination for a period of three (3) years.

Insurance and Liability

Presenter warrants that they maintain liability insurance appropriate to the Services and will provide certificates of insurance upon request. Except for gross negligence or willful misconduct, neither party will be liable to the other for incidental, consequential, or punitive damages. Presenter’s total liability for direct damages arising from this Agreement will not exceed the total fees paid by Organizer to Presenter under this Agreement.

Indemnification

Each party (the "Indemnitor") agrees to indemnify and hold harmless the other party (the "Indemnitee") from and against any claims, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising out of the Indemnitor’s breach of this Agreement, negligence, or willful misconduct. The obligations of this paragraph survive termination of this Agreement.

Governing Law

This Agreement will be governed by and construed in accordance with the laws of the State of without regard to conflicts of law principles. Venue for any dispute will be the state or federal courts located in the county where Organizer’s principal place of business is located, unless otherwise agreed in writing.

Entire Agreement; Amendments

This Agreement, together with any written attachments or addenda executed by the parties, constitutes the entire agreement between Organizer and Presenter concerning the subject matter hereof and supersedes all prior negotiations and understandings. No amendment or modification will be effective unless in writing and signed by both parties.

Representations and Warranties

Each party represents that it has the full power and authority to enter into this Agreement and that the person signing on its behalf is authorized to bind that party. Presenter warrants that materials delivered will not infringe third-party intellectual property rights.
