Recitals

WHEREAS, Client is the owner or authorized agent of the property located at the Property Address above and requires the removal of certain trees described herein; and

WHEREAS, Contractor is duly licensed, trained, and equipped to perform tree removal, stump grinding, debris removal, and related services and agrees to perform such services for Client under the terms and conditions of this Agreement; and

WHEREAS, the parties desire to set forth their respective rights, responsibilities, and liabilities with respect to the scope of work, compensation, scheduling, and risk allocation.

Either party may terminate this Agreement for material breach if the breaching party fails to cure such breach within days after receipt of written notice. Client may terminate for convenience upon days' written notice; in such event Client shall pay Contractor for work performed and reasonable demobilization costs.

Client represents that Contractor will have reasonable access to the work area and that all underground utilities have been located. Contractor is not responsible for failure to identify or damage to unmarked or unknown utilities, structures, or other concealed conditions.

Insurance, Liability, and Indemnity

Contractor shall maintain commercial general liability and workers' compensation insurance in amounts customarily carried for tree removal operations. Contractor's liability for direct damages under this Agreement shall be limited to the total contract price, except for damages resulting from Contractor's gross negligence or willful misconduct. Client shall indemnify and hold Contractor harmless from claims arising from Client's failure to disclose relevant site conditions or from Client's wrongful acts.

Confidentiality

The parties acknowledge that certain information exchanged in connection with performance of this Agreement may be confidential. Each party shall keep confidential all nonpublic business information received from the other party and shall not disclose such information except as required by law or as necessary to perform obligations under this Agreement. This obligation survives termination of the Agreement for a period of two (2) years.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of laws principles.

Entire Agreement

This Agreement, including any attachments or addenda executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings.
