TREE SERVICE STUMP REMOVAL AGREEMENT

This Stump Removal Agreement (the Agreement) is made effective as of Effective Date: by and between Client Name: (Client) and Contractor Name: (Contractor).

RECITALS

WHEREAS, Client is the owner or authorized representative of the real property located at Property Address: (Property); and

WHEREAS, Contractor is engaged in the business of tree and stump removal and represents that it has the experience, equipment, personnel and insurance to safely perform stump removal services at the Property; and

WHEREAS, Client desires to engage Contractor, and Contractor agrees to perform stump removal services on the terms and conditions set forth in this Agreement.

PAYMENT TERMS

Late payment shall incur interest at the rate of % per month and a one-time administrative late fee of $ if payment is more than days past due.

TERM AND TERMINATION

Work shall commence on Start Date: and is estimated to be substantially complete by End Date: . Completion dates are estimates and may be extended for weather, permitting, utility locates, or other causes beyond Contractor's control.

Either party may terminate this Agreement for material breach if the breaching party fails to cure within Notice Period: days after written notice. If Client cancels without cause prior to commencement, Client is responsible for reasonable costs incurred and cancellation fee of $.

CONFIDENTIALITY

Each party agrees that all non-public business information disclosed in connection with this Agreement shall be kept confidential and used only to perform obligations under this Agreement. Confidential information does not include information that is or becomes public through no fault of the receiving party, is already known by the receiving party, or is lawfully obtained from a third party. This obligation survives termination of this Agreement for a period of two (2) years.

INSURANCE, LIABILITY AND INDEMNIFICATION

Contractor shall maintain commercial general liability insurance and workers' compensation as required by law and shall provide proof of insurance upon Client's written request prior to commencement. Contractor is responsible for damage directly caused by Contractor's negligence in performing the work. Client will indemnify and hold Contractor harmless from claims arising from Client's failure to disclose underground utilities, private lines, or other hazards known to Client and not disclosed to Contractor prior to commencement.

Warranty: Contractor warrants that stump grinding and removal services shall be performed in a workmanlike manner for Warranty Period: days from completion. This warranty does not cover subsidence, settling, regrowth of roots below ground, or conditions caused by subsequent landscaping or irrigation.

PERMITS, UTILITIES AND SITE ACCESS

Responsibility for permits:

Client shall mark and disclose location of known underground utilities and any known septic systems. Contractor will not be liable for damage to unmarked or unknown underground utilities unless Contractor had actual knowledge of their location.

DISPOSAL AND SITE RESTORATION

Disposal included: If disposal is not included, Client is responsible for removal of debris within days after completion.

GOVERNING LAW; ENTIRE AGREEMENT

This Agreement shall be governed by and construed in accordance with the laws of State: without regard to conflict of law principles. Any dispute arising under this Agreement shall be resolved in the state or federal courts located in that state.

Entire Agreement: This Agreement, including all attachments and documents incorporated by reference, constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior negotiations, representations, warranties, commitments, or agreements, whether written or oral. No modification will be effective unless in writing signed by both parties.
