What a Tree Services Agreement Covers

A Tree Services Agreement is a written contract that defines the scope, price, schedule, and responsibilities for tree work such as pruning, removal, stump grinding, or emergency services on private or public property. It allocates risk between the property owner and the contractor, documents required permits and insurance requirements, and sets payment terms, warranties, and dispute resolution. A clear agreement reduces misunderstandings about access, site restoration, protected species, and hazardous conditions, and provides evidence of mutual consent if a claim or regulatory question arises.

Why a Formal Agreement Matters for Tree Work

A written Tree Services Agreement clarifies expectations, limits liability, and documents consent for potentially dangerous work. It protects owners, contractors, and insurers by recording permits, required clearances, and insurance coverage in a single binding record.

Why a Formal Agreement Matters for Tree Work

Who Commonly Prepares and Signs These Agreements

Multiple parties rely on Tree Services Agreements to establish responsibilities and protect interests before work begins.

  • Residential property owners seeking removal or large pruning work with documented price and cleanup terms.
  • Commercial property managers commissioning routine or emergency tree maintenance tied to liability and access rules.
  • Licensed arborists and tree contractors documenting scope, permits, insurance, and payment milestones.

Use a tailored agreement whenever scope, access, insurance, or timing could affect safety, property values, or regulatory compliance.

Typical Signatories and Their Roles

Property Owner

Homeowner or property manager who authorizes work, approves scope and payment terms, and is responsible for providing access and disclosing site conditions; signs to accept contractor liability limits and indemnity provisions.

Contractor Lead

Licensed tree services professional or company representative who confirms qualifications, insurance, scope, schedule, and warranty terms; signs to acknowledge pricing, safety obligations, and required permits.

Essential Data Elements to Include

Parties: Full legal names
Scope of Work: Detailed task list
Site Address: Street, city, state, ZIP
Price & Payment: Amount and schedule
Insurance: Carrier and policy limits
Permits: Required permits listed

Key Risks and Potential Consequences

Unpermitted Work: Fines or stop-work orders
Property Damage: Repair liability
Worker Injury: OSHA or claim exposure
Lien Risk: Mechanic’s lien for unpaid work
Insurance Gaps: Claim denial risk

Common Preparation Pitfalls to Avoid

  • Vague scope descriptions that omit tree size, species, or exact location lead to disputes about the work extent and price.
  • Failing to document permits or local ordinance requirements can result in fines or required restoration after work is completed.
  • Omitting insurance details and certificate-of-insurance requirements increases exposure for property owners if third parties are injured.
  • Not specifying disposal and site restoration leaves ambiguity about cleanup responsibilities and final acceptance criteria.

Step-by-Step: Completing a Tree Services Agreement

Follow these sequential steps to produce an enforceable agreement that minimizes operational and legal risk.

  • 01
Identify Parties: Enter full legal names and contact details.
  • 02
Describe Scope: Define tree locations, tasks, and exclusions.
  • 03
Set Price Terms: Specify total, deposits, and milestone payments.
  • 04
Confirm Insurance: List policy types and minimum limits.

Typical Workflow from Quote to Completion

A clear operational flow helps contractors and owners coordinate scheduling, permitting, and final inspection.

  • Estimate Provided: Contractor surveys, documents recommended work.
  • Agreement Signed: Parties sign and exchange copies.
  • Permits Secured: Contractor or owner obtains required permits.
  • Work & Closeout: Perform work, restore site, finalize payment.

Core Clauses That Should Appear in the Agreement

Include specific, enforceable clauses that allocate risk, document performance standards, and provide remedies. Below are six elements commonly found in professionally drafted tree services contracts.

Scope Details

Precise description of work including tree identification, pruning/removal specifications, equipment to be used, and any parts of the property to be protected during operations.

Payment Terms

Total price, deposit amount, progress payments, late fees, and acceptable payment methods; include a final invoice and retention terms if applicable.

Permits & Compliance

Responsibility for obtaining municipal permits, compliance with local tree ordinances, and adherence to protected species or heritage tree rules.

Insurance & Indemnity

Minimum commercial liability and worker’s compensation requirements, proof of insurance, and indemnity allocation for third-party claims or property damage.

Warranties & Exclusions

Any performance warranties, limited timeframes for claims, and clear exclusions such as underground utilities or preexisting conditions.

Cancellation & Change Orders

Procedure for change orders, additional work pricing, and conditions permitting contract termination or delay without penalty.

Practical Tips for a Clear, Enforceable Agreement

Adopting consistent drafting and administrative practices reduces disputes and speeds payment.

Use precise, measurable language
Describe tasks by reference points (e.g., 'oak tree at rear west lot line, 36-inch DBH'), so both parties have the same expectations and inspection criteria.
Attach site plans and photos
Include labeled photographs, diagrams, and a work map as exhibits to avoid later disagreement about locations or completed work.
Require proof of insurance upfront
Require contractor to provide a certificate of insurance naming owner as additional insured where appropriate and verify policy effective dates before work begins.
Document all change orders
Use written change orders signed by both parties that detail scope additions, pricing, and schedule impacts to prevent billing disputes.

Typical Timing and Deadlines to Track

Track permit lead times, scheduling windows, and invoicing deadlines to avoid delays and compliance issues.

Estimate Validity Period:

30 days typical for pricing to remain unchanged

Permit Lead Time:

Varies by jurisdiction; allow several weeks

Work Completion Window:

Specify start and completion dates

Final Payment Due:

Due on completion or per agreed milestone

Warranty Claim Window:

Define number of days for reporting defects

Supporting Documents and Deliverables to Attach

Include or reference standard exhibits that make the agreement actionable and auditable for both parties.

Site Map

Labeled map or aerial image identifying all trees to be serviced, access points, and utility lines to ensure accurate location and scope.

Certificate of Insurance

Current COI showing liability and worker’s compensation coverages, policy numbers, effective dates, and additional insured endorsements if required.

Permit Copies

Copies of municipal or county permits authorizing tree removal or trimming, including any arborist reports required by local rules.

Change Order Form

Standardized form for approving extra work with clear pricing and signature lines to document scope changes and payment.
