TRIA LIABILITY WAIVER FORM

RECITALS

NOW, THEREFORE

In consideration of the mutual covenants and other valuable consideration set forth herein, the parties agree as follows:

1. DEFINITIONS

1.1 "Act of Terrorism" means an act, including the use of force or violence, that is certified by the appropriate federal authority to be an act of terrorism for purposes of any federal program or statute providing for compensation or allocation of losses including, but not limited to, TRIA and any successor program.

1.2 "Covered Loss" means liability, damage, loss, claim, cost or expense arising from or related to an Act of Terrorism and otherwise within the scope of insurance coverage required or maintained under the underlying contract, subject to the terms, conditions and limitations of such insurance.

2. ACKNOWLEDGMENT OF TRIA AND LIMITATIONS

2.1 The parties acknowledge that any federal program, including TRIA, may require governmental certification, may limit recoverable amounts, and may impose exclusions or sub-limits. Neither party shall unreasonably rely on the availability of federal backstop funding when evaluating coverage under applicable insurance policies.

3. WAIVER AND RELEASE

3.1 To the fullest extent permitted by law, Indemnitor hereby irrevocably waives, releases and discharges any right to recover from Indemnified Party any portion of a Covered Loss that is attributable to limitations, exclusions or delays in federal terrorism recovery programs, including without limitation any diminution in insurance proceeds resulting from TRIA certification requirements, coverage sub-limits, aggregate limits, or deductibles.

3.2 This waiver extends to all claims, demands, actions and causes of action whether in contract, tort, strict liability, statute, or otherwise, arising from or related to an Act of Terrorism and concerning the subject matter of the underlying contract.

4. INDEMNIFICATION

4.1 Indemnitor shall indemnify, defend and hold harmless Indemnified Party and its officers, directors, employees and agents from and against all losses, liabilities, claims, damages, costs and expenses (including reasonable attorneys' fees and costs of investigation) to the extent arising out of or resulting from a Covered Loss, except to the extent such loss is finally determined to have resulted from the gross negligence or willful misconduct of Indemnified Party.

5. INSURANCE OBLIGATIONS

5.1 Indemnitor shall maintain insurance with terrorism coverage limits and endorsements consistent with the requirements of the underlying contract. If terrorism coverage is excluded or sub-limited, Indemnitor shall promptly notify Indemnified Party in writing and shall cooperate in seeking coverage where appropriate.

6. NOTICE OF CLAIMS

6.1 Each party shall provide prompt written notice to the other of any event that might reasonably give rise to a Covered Loss or claim that could implicate TRIA or related federal recovery programs. Notice shall include sufficient detail to permit the receiving party to evaluate its obligations and to pursue any available coverage or certification.

7. LIMITATION OF LIABILITY

7.1 Except for liabilities arising from gross negligence, willful misconduct or breaches of confidentiality or intellectual property obligations, neither party shall be liable to the other for consequential, incidental, special or punitive damages resulting from an Act of Terrorism, whether or not such damages were foreseeable.

8. REPRESENTATIONS AND WARRANTIES

8.1 Each party represents and warrants that it has full power and authority to enter into this Agreement, that the individual signing this Agreement on its behalf is authorized to do so, and that this Agreement constitutes its legal, valid and binding obligation enforceable in accordance with its terms.

9. TERM; TERMINATION

9.1 This Agreement shall commence on the Effective Date and shall survive termination or expiration of the underlying contract with respect to claims arising during the term of the underlying contract and any applicable statute of limitations period.

11. AMENDMENTS; WAIVER; COUNTERPARTS

11.1 No amendment, modification or waiver of any provision of this Agreement shall be effective unless in writing and signed by duly authorized representatives of both parties.

11.2 A waiver of any breach or default shall not be construed as a waiver of any subsequent breach or default. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.

12. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

12.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction selected by the parties: State/Province: without regard to principles of conflicts of law.

12.2 Entire Agreement. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and negotiations, whether written or oral, relating thereto.

12.3 Severability. If any provision of this Agreement is held to be invalid, illegal or unenforceable in any respect, the remaining provisions shall remain in full force and effect and shall be construed so as to effectuate the intent of the parties as nearly as possible.

13. MISCELLANEOUS PROVISIONS

13.1 Remedies. The parties agree that a breach of the provisions relating to waiver, indemnification or confidentiality would cause irreparable harm for which monetary damages may be an inadequate remedy and that the injured party shall be entitled to seek equitable relief in addition to any other remedies available at law or in equity.
