What the Trial Agreement for ScreenBeam Covers

A Trial Agreement for ScreenBeam is a short-term contract that governs the loan, evaluation, or demonstration of ScreenBeam hardware and related software to a prospective customer. The agreement specifies equipment identification, permitted use, evaluation period, support and maintenance responsibilities, liability for loss or damage, confidentiality obligations, return and inspection procedures, and acceptance criteria. It clarifies ownership and intellectual property rights, any security or data-handling expectations during testing, and remedies for breach. The document is suitable for vendors, resellers, integrators, and customers using electronic signatures for execution.

Why a Formal Trial Agreement Matters

A formal Trial Agreement sets clear expectations, protects assets, limits liability, and documents technical acceptance criteria during evaluations. It reduces disputes by recording shipment, testing, support, and return obligations in one enforceable record under U.S. e-signature law.

Why a Formal Trial Agreement Matters

Who Typically Completes This Agreement

Parties involved range from vendor account teams to IT administrators and procurement officers; each has distinct priorities when executing a trial agreement.

  • Vendor or reseller account manager responsible for delivery, asset tracking, and commercial terms.
  • Customer IT administrator who configures devices, verifies compatibility, and documents acceptance.
  • Procurement or legal representative who approves commercial terms and protects organizational risk.

Step-by-step: How to Complete the Trial Agreement

Follow these sequential steps to fill, review, and execute the Trial Agreement reliably and in the correct order.

  • 01
Prepare: Gather device serial numbers, shipping addresses, and internal approvers.
  • 02
Fill: Enter party names, trial dates, and responsibility clauses accurately.
  • 03
Review: Legal and IT confirm terms, data handling, and support SLAs.
  • 04
Execute: Sign electronically and retain the signed record with audit trail.

Online setup: Suggested digital workflow settings

Configure your e-signature workflow to capture required fields, authentication, and evidence before sending for signature.

Field Configuration
Document Type Contract with signature and date fields
Authentication Email plus optional SMS code
Audit Trail Enable timestamp, IP, and action log
Attachments Attach photos, serial lists, and ROI test results

Typical routing: From draft to returned hardware

This sequence shows the common flow from creating the agreement through return of the trial devices.

  • Draft: Populate parties, equipment IDs, dates, and conditions.
  • Authorize: Internal signoff by account and legal teams before sending.
  • Sign: Recipient signs electronically using approved authentication.
  • Return: Customer returns devices per the agreed return procedure.

Technical considerations for eCompletion and delivery

Confirm your eSignature provider supports the file formats, authentication strength, and audit evidence you require before sending the Trial Agreement for signature.

  • File formats: PDF, DOCX, and image attachments supported
  • Integrations: CRM and storage connectors available
  • Authentication: Email, SMS, or stronger multi-factor

Core clauses to include in a professional agreement

Include these essential sections so the trial is manageable, auditable, and legally meaningful for both parties.

Parties

Identify full legal names and roles for vendor, reseller, integrator, and customer. Clarify who is responsible for shipment, support, insurance, and damage claims to avoid future ambiguity.

Equipment Details

List device model numbers, serial numbers, quantities, and included accessories. Accurate identification prevents disputes about condition and return obligations when the trial ends.

Term and Return

State the trial start and end dates, shipping terms, return method, and condition requirements. Include extension options and consequences for late returns or non-returned devices.

Support and SLAs

Describe technical support scope, response times, firmware or software updates during the trial, and escalation paths so evaluators know what support to expect.

Liability and Insurance

Allocate responsibility for loss, theft, and damage; require insurance or deposit if appropriate; define caps on liability to limit exposure.

Data and Confidentiality

Address data handling, logs, and any installation access. Include confidentiality obligations for test results and handling of any captured data during the evaluation.

Security and compliance controls to verify

Encryption: TLS 1.2/1.3 in transit; AES-256 at rest
Audit Trail: Timestamp, IP, and action history retained
HIPAA BAA: Business Associate Agreement available if required
Access Controls: Role-based permissions and SSO support
Retention Policies: Configurable retention with export options
Authentication: Email, SMS, KBA, or advanced MFA options

Potential penalties and contractual risks

Late Return Fees: Daily or fixed charges for overdue equipment
Damage Charges: Costs for repairs or replacement if devices are harmed
Data Breach Liability: Exposure for improper handling of protected data
Warranty Voidance: Unauthorized modifications may void warranties
Tax Withholding: Incorrect payer info could trigger withholding
Contract Invalidity: Signatory not authorized may render contract void

Common preparation mistakes to avoid

  • Using informal or ambiguous device descriptions that later lead to disputes over what was returned or tested during the trial period.
  • Failing to document courier tracking, packaging condition, and acceptance checks on delivery which complicates liability when damage is discovered.
  • Allowing unauthorized personnel to sign or accept equipment without a clear delegation of authority in the agreement or an accompanying purchase order.
  • Neglecting to remove or secure sensitive data before return, which can create regulatory exposure and delay final acceptance.

Practical tips for accurate and efficient completion

Apply these practices to reduce risk, speed execution, and preserve equipment value during the trial.

Document Device Condition
Capture high-resolution photos and serial numbers at shipment and return to prove condition; attach these files to the signed agreement to support damage claims or to refute them.
Assign a Single Point of Contact
Designate one vendor and one customer lead to coordinate shipping, installation, troubleshooting, and sign-off to avoid miscommunication and delays in acceptance or return.
Limit Installation Changes
Document any configuration changes and require approval for permanent modifications to firmware or hardware to preserve warranty and avoid voiding vendor support.
Secure Data Handling
Remove sensitive data before return or require a certified secure wipe procedure; document the wipe in the agreement to mitigate data-breach risk.
