What the Tru Team Agreement Covers

The Tru Team Agreement is a written contract that defines roles, responsibilities, ownership, and decision-making authority for members of a project or working team. It typically covers scope of work, deliverables, timelines, contribution expectations, confidentiality and intellectual property provisions, dispute resolution, and termination conditions. Organizations use it for internal project teams, cross-functional initiatives, and external vendor collaborations. The agreement is designed to be enforceable electronically under U.S. law when executed in accordance with the ESIGN Act (15 U.S.C. ch. 96) and applicable state UETA statutes.

Why a Tru Team Agreement Matters

A Tru Team Agreement clarifies expectations, reduces scope disputes, preserves intellectual property rights, and documents decision authority. It supports compliance and auditability when signed electronically under ESIGN and UETA, helping teams manage risk and streamline collaboration across internal and external stakeholders.

Why a Tru Team Agreement Matters

Typical Users and Stakeholders

Typical users include internal managers, project leads, HR teams, and external vendors who need clear role, IP, and responsibility allocation.

  • Project managers coordinating cross-functional deliverables, assigning tasks, and enforcing timelines and acceptance criteria.
  • Human resources using agreement terms for onboarding, confidentiality, and role definitions.
  • Vendors and contractors establishing IP ownership, deliverable acceptance, payment terms, and dispute procedures.

Apply the agreement template to projects with multiple contributors or third-party vendors and adapt clauses to the organization’s governance model.

Core Sections to Include in a Tru Team Agreement

Core sections ensure the Tru Team Agreement covers governance, scope, IP, confidentiality, timelines, payment, and dispute resolution in a structured format.

Governance

Define leadership, decision authority, escalation paths, voting thresholds, and meeting cadence to prevent delays and to document who is authorized to approve changes, budgets, or scope adjustments.

Scope & Deliverables

Specify deliverables, acceptance criteria, responsibilities per party, milestones, and dependencies; include change-order procedures and how to document scope additions or reductions formally, with timelines and approval steps.

Intellectual Property

Clarify ownership of work product, pre-existing IP, licenses granted, assignment terms, and any royalty or usage restrictions to avoid later disputes over deliverables or derivatives.

Confidentiality

List confidential categories, permitted disclosures, duration of obligations, and exceptions; reference applicable privacy laws such as HIPAA where protected health information is involved and data handling protocols.

Payment Terms

State rates, invoicing cadence, payment due dates, late fees, retainers, and conditions for withholding payment such as failure to meet acceptance criteria and dispute hold procedures.

Termination & Disputes

Specify notice periods, cure rights, termination for convenience or cause, post-termination obligations, and the agreed dispute resolution method such as mediation or arbitration, including governing law and venue.

Practical Drafting and Governance Practices

Adopt clear drafting, version control, and approval workflows; review templates periodically and keep signatory authority records up to date.

Use standardized template language
Standardize core clauses across projects to reduce negotiation time, limit variability, and ensure regulatory compliance; preserve editable sections only where project-specific terms differ and track changes through clear version identifiers.
Require measurable acceptance criteria
Define objective acceptance tests, deliverable formats, and sign-off procedures; tie payments to passing acceptance to reduce disputes and provide a factual basis for withholding or release of funds under documented change-control rules.
Confirm signatory authority in writing
Obtain a short certification from signers confirming they have authority to bind their organization; preserve evidence such as board resolutions or delegation letters where appropriate to strengthen enforceability and record in company ledger.
Maintain version control and audit logs
Keep a single source of truth for the agreement; record edits, reviewer identities, and approvals. Retain signed copies and export audit trails to support later disputes or regulatory examinations and secure backups.

Key Dates and Deadlines to Track

Key deadlines help ensure enforceability and operational continuity; set internal review windows, signature deadlines, notice periods, and filing or retention triggers.

Draft Review Window:

Allow 5–10 business days for legal and stakeholder review.

Signature Deadline:

Target signature within 10 business days of final draft.

Effective Date:

Use the agreed MM/DD/YYYY on the signature page.

Notice Periods:

Specify required notice periods for termination and amendments.

Retention Trigger:

Define events that start retention clocks, e.g., final payment or project close.

Agreement Lifecycle: Milestones from Draft to Closeout

Milestones outline the agreement lifecycle from drafting through closure and any post-termination obligations with accountable parties specified.

01

All parties sign off on the final draft before circulation.

02

03
