TRUCK PARKING AGREEMENT

This Truck Parking Agreement ("Agreement") is entered into as of by and between:

RECITALS

WHEREAS, Lessor owns or controls the parking facility located at (the "Facility") and has authority to grant parking privileges; and

WHEREAS, Lessee desires to obtain from Lessor, and Lessor desires to grant to Lessee, a limited right to park commercial vehicles at the Facility on the terms and conditions set forth in this Agreement.

SCOPE OF WORK

Lessor grants Lessee the non-exclusive right to park permitted vehicles in the Facility as described below. The parties agree that Lessee's use is limited to the parking and incidental ingress and egress described in this Agreement and does not include storage of hazardous materials, vehicle maintenance beyond minor servicing, or use that would violate law or Facility rules.

ACCESS, SECURITY AND FACILITY RULES

Lessee shall comply with all posted Facility rules and reasonable security procedures. Lessor may change access hours or security procedures upon written notice to Lessee if changes are necessary for safety or regulatory compliance. Lessor reserves the right to deny access or relocate parked vehicles if Lessee breaches this Agreement or if emergency conditions require.

INSURANCE, LIABILITY & INDEMNITY

Lessee shall maintain at its sole cost and expense commercial general liability and automobile liability insurance with limits not less than per occurrence, naming Lessor as an additional insured where applicable. Lessee is responsible for damage to its vehicles and property. Lessee shall indemnify, defend and hold harmless Lessor from all claims, losses, damages, liabilities and expenses (including reasonable attorneys' fees) arising from Lessee's use of the Facility except to the extent caused by Lessor's gross negligence or willful misconduct.

Lessor may, at Lessee's expense, arrange for towing or removal of any vehicle that violates Facility rules, is abandoned, or presents an imminent hazard; Lessee shall be liable for all towing, storage, and related charges.

PAYMENT TERMS

Lessee shall pay to Lessor the parking fee and any other charges in accordance with this section. All amounts are payable in United States dollars unless otherwise agreed in writing.

Payment is delinquent if not received within days of the due date. Late payments incur a fee of on the outstanding balance, compounded monthly to the extent permitted by law.

TERM AND TERMINATION

This Agreement commences on and continues until unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement without cause upon days' prior written notice. Termination for material breach may be immediate if the breaching party fails to cure within ten (10) days after written notice of breach, or immediately if the breach cannot reasonably be cured.

RULES, PROHIBITIONS & MAINTENANCE

Lessee shall keep its vehicles and the areas allocated to Lessee in a clean condition and shall be responsible for removal of any waste or debris associated with Lessee's operations. Lessor shall maintain common areas, lighting and surface repairs except to the extent damage is caused by Lessee's negligence or misuse.

CONFIDENTIALITY

Each party shall keep confidential and not disclose the other party's proprietary business information, pricing, security procedures or other non-public information disclosed in connection with this Agreement, except to the extent disclosure is required by law. This obligation survives termination for a period of two (2) years.

DEFAULT, REMEDIES & TOWING

Upon Lessee's default of any material obligation, Lessor may suspend Lessee's access, pursue collection of unpaid charges, and exercise all remedies available at law or equity. Lessor has the right to remove or tow vehicles at Lessee's expense if Lessee breaches Facility rules or if the vehicle is a hazard. Lessor's exercise of any remedy does not preclude the pursuit of other remedies.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles.

ENTIRE AGREEMENT

This Agreement, together with any attachments or written addenda executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations and agreements, whether written or oral. No amendment or waiver shall be effective unless in writing and signed by both parties.

MISCELLANEOUS PROVISIONS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except that Lessor may assign to a purchaser of the Facility.
