Trucking Contract

This Trucking Contract (this Agreement) is made and entered into as of by and between:

Recitals

WHEREAS, Carrier is duly licensed and insured to transport property by motor carrier and operates vehicles and drivers capable of transporting the cargo described in this Agreement; and

WHEREAS, Shipper requires transportation services for goods identified herein and desires to engage Carrier to transport such goods on the terms set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows:

Scope of Services

Carrier shall provide transportation and related services as described below. Carrier shall furnish all labor, equipment, fuel, permits, and supervision necessary to perform carriage of freight from pickup locations to delivery locations in a safe and commercially reasonable manner consistent with industry standards.

Equipment; Drivers; Loading & Unloading

Carrier shall provide equipment that is safe, properly maintained and licensed, and drivers that are qualified and hold all required endorsements. Carrier is responsible for securement of load and safe operation. Shipper shall be responsible for loading and/or unloading only where expressly agreed and recorded in the scope of services.

Payment Terms

Shipper shall pay Carrier for services rendered as set forth below. All charges are exclusive of taxes unless otherwise stated.

Insurance & Indemnification

Carrier shall maintain and keep in force commercial auto liability, cargo, and general liability insurance with limits not less than those set forth below and shall provide certificates of insurance upon request. Carrier shall indemnify, defend and hold harmless Shipper from and against any claims, liabilities, losses or expenses arising from Carrier's negligence or willful misconduct in the performance of services under this Agreement.

Compliance with Law

Carrier shall at all times comply with all applicable federal, state and local laws, regulations and rules, including safety rules and hours-of-service regulations. Carrier is responsible for permits, licenses, and any regulatory compliance associated with the transport of the cargo.

Term and Termination

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to the effective date of termination. Either party may terminate immediately for material breach that remains uncured for a period of ten (10) days after written notice of such breach or for insolvency or revocation of required operating authority.

Confidentiality

Each party acknowledges that in the course of performing this Agreement it may receive or have access to confidential information of the other party. Each party agrees to keep confidential and not disclose such information except to its employees, agents or subcontractors on a need-to-know basis or as required by law. Confidential information does not include information that is or becomes publicly available other than by breach of this Agreement.

Limitation of Liability

Except for liability arising from Carrier's gross negligence or willful misconduct, in no event shall either party be liable to the other for consequential, incidental, special or punitive damages. Carrier's liability for loss or damage to cargo shall be governed by the actual value of the goods at the point and time of loss, subject to the limitations set forth in this Agreement and applicable law.

Notices

All notices under this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as either party designates in writing.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties agree to attempt to resolve disputes through negotiation and, if unresolved, through mediation prior to pursuing litigation.

Entire Agreement; Amendments

This Agreement, together with any attachments or rate confirmations expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings. Any amendment or modification of this Agreement must be in writing and signed by authorized representatives of both parties.

If any provision of this Agreement is held invalid or unenforceable, such invalidity shall not affect the remaining provisions, which shall remain in full force and effect.
