RECITALS

WHEREAS, Client Name: (hereinafter "Client") operates or engages trucking services and requires centralized collection, retention, and delivery of transportation-related documents; and

WHEREAS, Service Provider Name: (hereinafter "Provider") provides document management, processing, and delivery services tailored to the trucking industry; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows.

SCOPE OF WORK

Provider shall collect, process, store, and deliver the trucking-related documents identified below on behalf of Client, maintain an indexed record system, and provide access and export capabilities consistent with the delivery schedule stated herein. Provider shall ensure documents are legible, accurately indexed, and delivered in the agreed format.

Provider shall receive documents within days from occurrence or delivery, unless otherwise agreed in writing. Emergency or exception documents shall be processed within hours.

PAYMENT TERMS

Client shall pay Provider for services as follows.

All fees are due within the invoice payment terms set forth in the Payment Schedule. Late payments accrue the Late Fee above and Provider may suspend access to documents and services upon thirty (30) days' written notice following continued nonpayment.

TERM AND TERMINATION

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated under this Section.

Either party may terminate for convenience with Notice Period (days): days' prior written notice. Either party may terminate immediately for material breach if such breach is not cured within thirty (30) days after written notice of breach.

CONFIDENTIALITY

"Confidential Information" means non-public business, operational, customer, pricing, personnel, and technical information disclosed by one party to the other in connection with this Agreement. Provider shall maintain Confidential Information in strict confidence, not use such information except to perform under this Agreement, and not disclose it to third parties except as permitted below.

Confidential Information does not include information that (a) is or becomes publicly known through no breach by the recipient; (b) is rightfully received from a third party without restriction; (c) is independently developed by recipient without reference to the discloser's Confidential Information; or (d) is required to be disclosed by law, provided recipient gives prompt notice to the discloser and limits disclosure to the extent legally required.

The obligations in this section survive termination for Confidentiality Duration (years): years or as otherwise required by law.

DOCUMENT RETENTION, ACCESS & AUDIT

Provider shall retain managed documents for Retention Period (years): years unless otherwise required by law or by written instruction from Client. Provider will permit Client or its authorized representative reasonable access to documents and records, and Client may audit Provider's document handling and indexing practices upon days' written notice during normal business hours.

INDEMNIFICATION & LIABILITY

Each party shall indemnify and hold harmless the other from third-party claims arising from its negligent acts, omissions, or willful misconduct in performance of this Agreement. Provider's liability for direct damages arising out of Provider's negligent performance shall be limited to the total fees paid by Client to Provider under this Agreement during the preceding twelve (12) months. Neither party shall be liable for consequential, incidental, punitive, or special damages unless resulting from willful misconduct.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles. The parties shall attempt in good faith to resolve disputes amicably before initiating litigation; venue for any litigation shall be in the state or federal courts located in the governing jurisdiction.

ENTIRE AGREEMENT; AMENDMENT; SEVERABILITY

This Agreement (including any exhibits or written attachments) constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior negotiations, proposals, and agreements. Any amendment must be in writing and signed by authorized representatives of both parties. If any provision is held unenforceable, the remainder will remain in full force and effect.

NOTICES

All notices under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as a party may designate by written notice. Notice is effective upon personal delivery, confirmed electronic transmission, or three (3) business days after deposit with a nationally recognized overnight courier.
