Trucking Services Agreement

This Trucking Services Agreement (the "Agreement") is entered into as of by and between:

RECITALS

WHEREAS, Carrier is duly authorized and engaged in the business of providing motor carrier transportation and related logistics services; and

WHEREAS, Shipper requires transportation of freight on the terms and conditions set forth herein; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the transportation services to be provided by Carrier to Shipper.

SCOPE OF WORK

Carrier shall transport freight on behalf of Shipper in accordance with the instructions issued by Shipper and subject to the terms of this Agreement. Carrier shall provide all personnel, vehicles, equipment, permits and licenses necessary to perform the services described below.

PAYMENT TERMS

In consideration for the services rendered by Carrier, Shipper shall pay Carrier the fees and charges set forth below. All sums due shall be payable in United States dollars unless otherwise agreed in writing.

TERM AND TERMINATION

This Agreement shall commence on and shall continue in full force and effect until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for cause if the other party materially breaches any provision and fails to cure such breach within the notice period specified above. Termination for convenience may be exercised upon providing the required written notice and payment for services performed through the effective date of termination.

CONFIDENTIALITY

Each party acknowledges that during the performance of this Agreement it may receive or have access to non-public confidential information of the other party ("Confidential Information"). Each party agrees to hold Confidential Information in strict confidence, to use it only for purposes of performing this Agreement, and not to disclose it to any third party except to employees, agents or subcontractors who have a need to know and who are bound by confidentiality obligations at least as protective as those set forth herein. Confidential Information does not include information that is or becomes generally available to the public through no fault of the receiving party or that is required to be disclosed by law, provided the disclosing party is given prompt notice to seek protective relief.

INSURANCE, INDEMNITY, AND LIABILITY

Carrier shall maintain at its expense commercially reasonable automobile liability, cargo, and workers' compensation insurance in amounts sufficient to meet applicable law and customary industry requirements. Carrier shall defend, indemnify and hold harmless Shipper from and against any claims, losses, liabilities or expenses arising out of Carrier's negligence, willful misconduct or breach of this Agreement, except to the extent caused by Shipper's negligence. Except as specifically provided herein, neither party shall be liable for consequential, incidental, special or punitive damages.

COMPLIANCE WITH LAW

Carrier represents and warrants that it shall comply with all applicable federal, state and local laws, regulations, permits and licensing requirements, including those governing the operation of motor carriers and the transportation of freight. Carrier shall obtain and maintain all permits, operating authority, registrations and endorsements required to perform the services and shall provide proof of such documentation upon reasonable request.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state specified below without regard to its conflicts of law principles.

ENTIRE AGREEMENT

This Agreement, together with any attachments, schedules or written amendments executed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether written or oral. No modification or waiver of any provision of this Agreement shall be effective unless in writing and signed by an authorized representative of each party.

MISCELLANEOUS

The parties are independent contractors and nothing in this Agreement shall create an agency, partnership, joint venture, or employment relationship. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Notices required by this Agreement shall be in writing and delivered to the addresses set forth above.
