What a True Up Agreement Is and when it applies

A True Up Agreement is a contractual reconciliation mechanism used to compare estimated or forecasted usage, units, licenses, or payments against actuals for a defined reporting period. It specifies how differences are calculated, when adjustments are invoiced, and how supporting data is produced and audited. True up provisions commonly appear in software licensing, subscription services, supply contracts, and vendor agreements where periodic reconciliation is required. The agreement defines reporting deadlines, acceptable records, dispute resolution, and the process for collecting or crediting any adjustment amount.

Why include a True Up Agreement in contracts

A clear True Up Agreement reduces billing surprises, aligns payment to actual consumption, preserves auditability, and allocates responsibility for data and timing. It protects both parties by defining calculation methods, supporting documentation, and remediation steps.

Why include a True Up Agreement in contracts

Who typically prepares or signs a True Up Agreement

Organizations that manage recurring usage, licenses, or unit-based billing rely on True Up Agreements to reconcile actuals against estimates and to support financial reporting.

  • Vendor finance teams responsible for invoices and rights to audit usage records.
  • Customer procurement or finance teams that validate reported consumption and authorize payments.
  • Legal or contract managers who draft reconciliation rules and dispute resolution procedures.

Parties include commercial vendors, licensors, corporate procurement, finance teams, and customer operations; larger agreements may involve legal and audit teams for oversight.

Step-by-step: completing a True Up Agreement

Follow a clear sequence to prepare, reconcile, and finalize true up adjustments so all parties can verify calculations and meet deadlines.

  • 01
Prepare Data: Collect usage reports, invoices, and system logs for the reporting period.
  • 02
Calculate Adjustment: Apply contract formula to derive underpayment or credit amount.
  • 03
Review & Audit: Provide supporting files and allow reasonable audit or sampling.
  • 04
Finalize Payment: Issue invoice or credit and record the adjustment in accounting.

Common preparation errors to avoid

  • Using inconsistent units or rounding methods that change calculations and cause disputes between parties.
  • Failing to attach supporting system exports, proofs of usage, or invoices required by the reconciliation clause.
  • Missing the reporting or payment deadline, which can trigger late fees or interest under the contract terms.
  • Neglecting to secure authorized signatures or to document delegated signing authority for corporate signers.

Essential elements to include in a professional True Up Agreement

A complete True Up Agreement defines who reports, how calculations are performed, timing, evidence standards, adjustment mechanics, and dispute and audit processes.

Parties & Definitions

Clearly identify contracting entities, define key terms such as 'units', 'usage', and 'reporting period' to avoid ambiguity during reconciliation and enforcement.

Reporting Requirements

Specify required reports, formats, export types, and responsible systems or personnel so both sides can reproduce or verify reported data.

Calculation Method

Include the precise formula, rounding rules, thresholds, and examples that determine how the true-up amount is computed.

Payment Terms

State invoicing schedule, currency, payment due date, late interest, and whether offsets or credits apply for overpayment.

Audit Rights

Grant and limit audit rights, inspection scope, notice period, confidentiality protections, and allocation of audit costs in the contract.

Dispute Resolution

Describe escalation steps, negotiation timelines, and final remedies such as arbitration, mediation, or litigation venue.

Typical electronic workflow for executing a True Up Agreement

Electronic execution streamlines delivery, review, signature, and distribution while preserving an auditable record of the reconciliation process.

  • Upload Document: Sender uploads the template and attaches supporting usage files.
  • Add Fields: Place signature, date, and calculated fields before sending.
  • Signer Authentication: Signers authenticate by email, SMS code, or configured method.
  • Complete & Archive: Signed copies and audit logs are distributed and stored securely.

Configuring an electronic True Up workflow

Standardize templates and authentication to ensure consistent audits and to reduce signer friction during reconciliation.

Field Configuration
Authentication Method Email link, SMS one-time code, or SSO where required
Template Versioning Store template with version control and change log
Conditional Fields Show calculation or audit fields only when needed
Audit Capture Record IP, timestamp, and action history for every signer

Technical and integration considerations

Choose a platform that supports required file formats, integrations, and signer authentication suitable for your industry and compliance needs.

  • Integrations: Salesforce, NetSuite, Microsoft 365, Google Workspace supported
  • Document Formats: PDF, Word DOCX, HTML, and Excel export available
  • Authentication Options: Email, SMS code, SSO, and stronger verification methods

Typical timelines and processing expectations

True ups are time sensitive; establish reporting, review, and payment timelines to avoid late fees and disputes.

Reporting Frequency:

Monthly, quarterly, or annual per contract; specify exact dates

Submission Window:

Typically due within 30–90 days after period end

Review Period:

Allow 15–30 days for the receiving party to audit reports
