This Trust Account Agreement (the Agreement) is made effective as of between the person or entity establishing the account and transferring funds to the account (Trustor) and the person or entity accepting appointment as trustee and custodian of the account (Trustee).

Default, Indemnification and Limitation of Liability

Default: Trustee may suspend distributions or terminate administration of the Trust Account if Trustor fails to provide required instructions or documentation. Trustee shall provide written notice of default and a reasonable opportunity to cure.

Indemnification: Trustor agrees to indemnify, defend and hold Trustee harmless from and against any and all claims, liabilities, losses, costs and expenses (including reasonable attorneys' fees) arising out of the Trustee's good faith performance of duties under this Agreement, except to the extent resulting from Trustee's gross negligence or willful misconduct.

Limitation of Liability: Trustee's liability for any loss shall be limited to losses proximately caused by Trustee's gross negligence, willful misconduct, or material breach of this Agreement. Trustee shall not be liable for market losses, acts of third parties, or events beyond Trustee's reasonable control.

Termination and Amendment

This Agreement may be terminated by mutual written consent of Trustor and Trustee, or upon final distribution of all assets of the Trust Account. Any amendment to this Agreement must be in writing and signed by both Trustor and Trustee.

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses below by certified mail, overnight courier, or personal delivery and shall be effective upon receipt.
