TRUST AGREEMENT

This Trust Agreement (the Agreement) is made and entered into as of the , , by and between Settlor Name: and Trustee Name: .

Recitals

WHEREAS, Settlor desires to create a trust to hold, manage, and distribute certain assets for the benefit of Beneficiaries in accordance with the terms of this Agreement; and

WHEREAS, Trustee has the experience and capacity to accept and administer the trust estate and agrees to act as Trustee upon the terms and conditions set forth herein; and

1. Name and Establishment of Trust

3.1 Powers. Trustee shall have all powers conferred by law and those powers reasonably necessary to carry out the purposes of the Trust, including without limitation the power to hold, retain, invest and reinvest assets; to sell, lease, mortgage or otherwise dispose of Trust Property; to borrow; to enter into contracts; to employ agents, advisors and attorneys; to allocate receipts and expenses between principal and income; and to take any action that a prudent fiduciary would take in administering a trust of similar character.

3.2 Duties. Trustee shall administer the Trust solely in the best interests of the beneficiaries, keep accurate records, provide accountings when required by law or this Agreement, avoid conflicts of interest, and exercise reasonable care, skill, and caution in the performance of Trustee duties.

4. Beneficiaries and Distributions

4.1 Income and Principal. Trustee shall distribute income and/or principal to the beneficiaries in accordance with the distribution provisions below and subject to any limitations, conditions, or discretionary instructions set forth in this Agreement.

4.2 Standard of Distribution. Unless otherwise provided, Trustee may make distributions for the health, education, support and maintenance of a beneficiary, taking into account the beneficiary’s other resources and needs, and may exercise discretion to withhold distributions where deemed advisable for the long‑term preservation of Trust Property.

Trustee compensation and expense reimbursement shall be paid from the Trust principal or income as appropriate. Late payments shall accrue the late fee specified above, compounded monthly, in addition to any costs reasonably incurred in collection.

7.2 Termination for Cause. This Agreement may be terminated by written notice upon material breach or incapacity if not cured within the notice period provided above, subject to any rights of third parties and applicable law.

Confidentiality

Trustee and Settlor agree to maintain the confidentiality of Trust records and of any non‑public information concerning beneficiaries, Trust assets, tax matters and financial affairs, except as required by law, by a court order, or as necessary to carry out fiduciary duties. Disclosure to professional advisors retained by Trustee is permitted on a need‑to‑know basis provided such advisors agree to preserve confidentiality.

Amendment; Revocability

Unless expressly stated otherwise below, the Settlor reserves the right to amend or revoke this Trust by a signed instrument delivered to the Trustee. Indicate below whether trust is revocable or irrevocable.

Successor Trustee and Resignation

Trustee may resign upon 30 days' written notice to Settlor (if living) and to the beneficiaries; upon resignation or incapacity, successor trustee shall assume duties in accordance with state law and this Agreement.

Trustee shall keep full and accurate records of all transactions and shall render an accounting to the beneficiaries upon reasonable request or as required by law. Trustee shall retain records for a minimum of seven years after final distribution, or longer where required by applicable law.

Trustee shall not be liable for losses resulting from Trustee’s reasonable reliance on statements or representations of others, or for acts or omissions made in good faith and in the exercise of reasonable discretion. Trustee shall be indemnified and held harmless by the Trust from all liabilities and expenses reasonably incurred in the administration of the Trust, except to the extent resulting from Trustee’s gross negligence, willful misconduct, or breach of fiduciary duty.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state named above without giving effect to conflict of laws principles that would result in the application of the laws of another jurisdiction.

Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. No amendment shall be effective unless in writing and signed by Settlor (if revocable) and Trustee.

Miscellaneous

If any provision of this Agreement is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Headings are for convenience only and shall not affect interpretation.
