TRUST EXTENSION AGREEMENT

This Trust Extension Agreement (the Agreement) is made as of by and between Grantor/Settlor: and Trustee: concerning the trust known as: (the Trust), originally dated .

RECITALS

WHEREAS, the Grantor/Settlor established the Trust identified above for the benefit of the beneficiaries and appointed the Trustee to manage, invest, and distribute Trust assets in accordance with the terms of the original trust instrument and any amendments thereto; and

SCOPE OF EXTENSION

The specific responsibilities, limitations, and additional services to be provided during the extended term are described below.

PAYMENT TERMS

As consideration for the Trustee's services during the extended term, the Trust shall pay the Trustee compensation in accordance with the terms set forth below. All fees are payable from Trust assets and shall be administered in a manner consistent with the trustee's fiduciary duties.

If any payment due under this Agreement is not paid within days of the due date, interest shall accrue at the rate specified above or, if no rate is specified, at the maximum rate permitted by applicable law. The Trustee may suspend discretionary distributions to beneficiaries until outstanding fees and expenses are paid.

TERM AND TERMINATION

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within days after written notice. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of law principles.

MISCELLANEOUS

Entire Agreement: This Agreement, together with the original trust instrument and any valid amendments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations, or agreements, whether written or oral.
