What a Trustee Fee Agreement Does

The Trustee Fee Agreement is a legally binding contract that documents compensation, reimbursement, and payment terms for an appointed trustee who administers a trust. It specifies fee structure (hourly, flat, percentage, or blended), timing of payments, expense reimbursement procedures, reporting and accounting obligations, and termination provisions. The agreement clarifies discretionary fees, successor trustee compensation, and any contingency for extraordinary services. It serves to align settlor intent, beneficiary expectations, and trustee duties, and provides a written record that can reduce disputes and support court review if fee challenges arise.

Why a Written Fee Agreement Matters

Using a Trustee Fee Agreement establishes clear compensation expectations, documents authority to collect fees and expenses, and reduces the risk of beneficiary disputes or court challenges. It supports transparent accounting and helps trustees demonstrate reasonableness under state trust law and court standards.

Why a Written Fee Agreement Matters

Who Typically Prepares and Signs This Agreement

Trustees, beneficiaries, trust attorneys, corporate fiduciaries, and family office administrators commonly use Trustee Fee Agreements to document compensation terms and procedures.

  • Independent trustees and professional fiduciaries documenting hourly, flat, or percentage compensation arrangements.
  • Settlor or grantor counsel preparing draft provisions during trust funding or amendment stages.
  • Beneficiaries reviewing fee terms before approving trustee appointments or contesting bills.

A clear agreement helps courts assess fee reasonableness and simplifies trustee accounting and tax reporting.

Essential Sections to Include

Core sections define fee schedule, expense reimbursement, reporting, special services, dispute resolution, and termination or successor trustee compensation clauses to address contingencies and court review.

Fee Schedule

Specify method (hourly rate, flat fee, percentage of assets), billing frequency, calculation basis, and thresholds for extraordinary compensation, including detailed examples or formulas when using percentages.

Expense Reimbursement

Outline reimbursable expenses, documentation required (receipts, invoices), advance approval process, and timing for reimbursements to prevent disputes and ensure clear bookkeeping.

Reporting & Accounting

State frequency of accountings, required line items, beneficiary notices, record retention, and format for financial reports to satisfy fiduciary duties and potential court review.

Extraordinary Services

Define services beyond ordinary administration (litigation, tax controversy, property sale) and set separate rates, approval triggers, and notice procedures for beneficiaries.

Termination & Successor Pay

Address compensation on resignation, removal, or death, including prorated fees, final accounting deadlines, and successor trustee payment mechanics.

Dispute Resolution

Include mediation or arbitration procedures, venue and governing law selection, and provisions for fee reasonableness review under applicable state trust statutes.

Accounting Frequency:

Annual or more frequent accountings required by beneficiaries or court.

Common Preparation Mistakes to Avoid

  • Using vague fee language that omits calculation method, thresholds, or examples often leads to beneficiary disputes, inconsistent billing, and costly court review.
  • Failing to specify expense reimbursement limits, required receipts, and approval processes creates confusion and increases audit risk during trust administration.
  • Not aligning fee provisions with applicable state trust law or prevailing court standards may result in fees being reduced on challenge.
  • Skipping signer authentication steps or using improper notarization or witness procedures weakens enforceability and may trigger re-signing or litigation.

Potential Legal and Financial Consequences

Court Reduction: Judge may reduce fees.
Surcharge Liability: Trustee may reimburse beneficiaries.
Malpractice Risk: Attorney-review failure increases liability.
Tax Implications: Unclear fees affect trust income reporting.
Ineffective Authorization: Beneficiaries can withhold consent.
Re-signing Costs: Additional notarization and administration costs.

Representative Signatories and Their Roles

Corporate Trustee — Fiduciary Officer

A corporate trustee's fiduciary officer oversees trust administration, applies standard fee schedules, documents time and expenses, and often requires internal approval for extraordinary compensation. Corporate trustees maintain compliance procedures and produce formal accountings suitable for beneficiary review and court scrutiny.

Individual Trustee — Family Member

An individual trustee, often a family member, should document hours, seek counsel for complex decisions, and use a written Trustee Fee Agreement to avoid perceived conflicts. Courts scrutinize self-dealing and may require detailed accountings and justification of rates.
