Recitals

WHEREAS, the Resigning Trustee has been acting as trustee of the Trust identified above and has held legal title to trust assets, conducted trust administration, and performed the powers and duties set forth in the governing instrument; and

WHEREAS, the Resigning Trustee desires to resign from the office of trustee effective as provided below and has proposed the individual named as Proposed Successor Trustee to succeed to the office of trustee; and

WHEREAS, the Proposed Successor Trustee is willing to accept the appointment and to assume the duties and responsibilities of trustee in accordance with the terms of the governing instrument and applicable law.

NOW, THEREFORE

In consideration of the mutual covenants contained in this instrument and intending to be legally bound hereby, the Resigning Trustee and the Proposed Successor Trustee agree as follows:

1. Resignation

The Resigning Trustee hereby irrevocably resigns and relinquishes all powers, duties, discretions and authorities as trustee of the Trust effective as of (the "Effective Date"), subject to the Successor Trustee's acceptance as set forth below.

2. Acceptance by Successor Trustee

The Proposed Successor Trustee hereby accepts appointment as trustee of the Trust and agrees to assume and discharge all duties, powers, and responsibilities of the office of trustee from and after the Effective Date. The Successor Trustee covenants to administer the Trust in accordance with the terms of the governing instrument and applicable law.

3. Transfer of Records and Assets

The Resigning Trustee shall deliver to the Successor Trustee within days after the Effective Date all trust records, accountings, property, keys, access credentials, and other materials reasonably necessary for the administration of the Trust. The Resigning Trustee represents that all trust assets under the Resigning Trustee's control are described on a schedule attached hereto or will be delivered as provided above.

4. Representations and Warranties

The Resigning Trustee represents and warrants that: (a) to the Resigning Trustee's knowledge, there is no pending action, claim, or proceeding against the Trust or the Resigning Trustee that would materially impair administration of the Trust; (b) the Resigning Trustee has not knowingly concealed any material fact or asset of the Trust; and (c) the Resigning Trustee has provided or will provide all notices, accountings, and disclosures required under the governing instrument and applicable law.

The Successor Trustee represents that the Successor Trustee is willing and able to accept appointment and to perform faithfully the duties of trustee in accordance with the governing instrument and applicable law.

5. Notice to Beneficiaries and Others

The Resigning Trustee affirms that notice of the resignation and of the appointment of the Successor Trustee will be provided to all current beneficiaries and to any other persons required under the governing instrument or applicable law within days of the Effective Date.

6. Indemnification

The Trust shall indemnify and hold harmless the Resigning Trustee from and against any liabilities, claims, losses, or expenses arising out of actions taken or omitted while acting as trustee prior to the Effective Date, except to the extent such liabilities arise from the Resigning Trustee's gross negligence, willful misconduct, or breach of fiduciary duty.

7. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of laws principles.

8. Entire Agreement

This instrument constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior oral and written agreements and understandings relating to the resignation and succession described herein.

9. Severability

If any provision of this instrument is held to be invalid, illegal or unenforceable in any respect, the validity, legality and enforceability of the remaining provisions shall not in any way be affected or impaired.

10. Amendments; Waiver

This instrument may be amended only by an agreement in writing signed by both the Resigning Trustee and the Successor Trustee. No waiver of any provision of this instrument shall be effective unless in writing and signed by the party against whom the waiver is asserted.

11. Counterparts and Electronic Signatures

This instrument may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures provided by electronic means shall be binding and shall have the same effect as original signatures.
