What the UBO Structure Document Is and when it’s used

A UBO Structure Document outlines an entity’s ownership and control chain to identify Ultimate Beneficial Owners (UBOs) and their ownership percentages, control rights, and identifying details. It maps legal entities, direct and indirect ownership, and any natural persons who exercise substantial control. Financial institutions and compliance teams use this document for KYC/AML due diligence, account onboarding, regulatory reporting, and internal risk assessments. The document typically includes an ownership chart, verified identity fields, attestations, and a signature block for authorized signatories attesting to completeness and accuracy under applicable law.

Why a clear UBO Structure Document matters

A complete UBO Structure Document reduces onboarding delays, supports Bank Secrecy Act/AML compliance, and helps meet counterparty and regulator requests. It creates an auditable record of ownership and control for legal, tax, and compliance reviews while reducing the risk of account restriction or fines.

Why a clear UBO Structure Document matters

Who typically prepares and reviews UBO Structure Documents

These documents are prepared by corporate legal teams, compliance officers, and external counsel during client onboarding or corporate transactions.

  • Compliance teams responsible for KYC and AML reviews during onboarding and periodic refreshes.
  • Legal or corporate secretarial staff who maintain ownership records and prepare organizational charts.
  • External counsel or corporate service providers engaged to verify entity structure and sign attestations.

Financial institutions, corporate treasury, auditors, and regulators review the document as part of KYC/AML checks and ongoing monitoring.

Core elements to include in a professional UBO Structure Document

A professional UBO Structure Document combines a visual ownership chart with standardized data fields, verified identity evidence, and an attestation signed by an authorized representative. It should be precise, dated, and include references to supporting documents to pass regulatory and banking reviews.

Ownership Chart

A diagram showing direct and indirect ownership paths with percentage stakes and ownership thresholds clearly labeled so reviewers can trace natural persons to the ultimate ownership level.

Entity Details

Legal name, jurisdiction of formation, registration/FILE number, and primary business activity for each entity in the chain to permit regulatory cross-checks.

Beneficial Owners

Full legal name, date of birth, country of citizenship, residential address, and ownership percentage for each natural person meeting the beneficial owner threshold.

Control Evidence

Description of voting rights, board composition, nominee arrangements, and contractual control mechanisms that show de facto control beyond ownership percentages.

Supporting Documents

Copies of formation documents, shareholder ledgers, operative agreements, and government-issued IDs that corroborate the stated ownership and control relationships.

Attestation & Signature

A dated certification by an authorized signatory confirming completeness and accuracy, with the signatory’s title, contact, and signature (and notarization if required).

Step-by-step: preparing and submitting a UBO Structure Document

Follow a consistent sequence to gather, verify, and deliver UBO information to minimize rework and compliance checks.

  • 01
Gather corporate records: Collect formation documents and shareholder registers.
  • 02
Identify natural persons: List all natural persons meeting beneficial owner thresholds.
  • 03
Verify identities: Match names, DOBs, and IDs to documents.
  • 04
Sign and submit: Authorized signer executes attestation and sends to recipient.

Typical routing and review workflow for the UBO Structure Document

A clear routing process improves traceability: prepare the file, validate supporting documents, obtain attestations, then deliver to the requesting compliance or banking team.

  • Prepare package: Assemble UBO form plus supporting documents.
  • Internal review: Compliance reviews ownership and control descriptions.
  • Sign attestation: Authorized representative signs and dates.
  • Deliver to recipient: Send via secure channel or eSubmission platform.

Configuring an online UBO workflow for consistent collection

Use a template and enforce validation to capture consistent UBO data and reduce back-and-forth with requesters.

Field Configuration
Required Fields Make legal name, DOB, ownership percent required
Conditional Logic Show control fields when ownership exceeds threshold
Signer Authentication Enable multi-factor or access code
Audit Trail Record timestamps, IP, and signer events

Technical considerations for eSubmitting a UBO Structure Document

Choose a platform that supports PDF/Word upload, secure storage, audit trails, and configurable fields for identity capture.

  • File formats: PDF, DOCX accepted
  • Integrations: Salesforce, NetSuite, Google Workspace
  • Authentication: Email, SMS, or advanced MFA

Ensure the chosen system supports secure encryption in transit and at rest, detailed audit logs, and the ability to attach supporting documents and notarizations where required.

Required data elements at a glance

UBO Name: Full legal name
Date of Birth: MM/DD/YYYY
Ownership Percentage: Numeric percentage
Address: Street, city, state, ZIP
ID Type: Passport or driver’s license
Attestation Date: Signed date

Common preparation errors to avoid

  • Using inconsistent entity names across documents that cause verification failures and require resubmission.
  • Leaving ownership percentages blank or using vague ranges instead of exact numeric percentages, creating ambiguity for compliance reviewers.
  • Submitting unsigned attestations or signatures by unauthorized personnel, which can invalidate the document for banking purposes.
  • Failing to attach corroborating formation documents or recent shareholder registers, which often triggers follow-up requests.

Consequences of incorrect or incomplete UBO disclosures

Account Delays: Onboarding or transactions can be blocked
Regulatory Fines: Civil penalties or enforcement actions
Tax Exposure: Incorrect reporting risks tax penalties
Reputational Harm: Loss of business trust
Account Freezes: Funds or services may be restricted
Criminal Risk: Intentional concealment may lead to prosecution
