UK Lease Agreement

This Lease is made on between Landlord Name: of (the "Landlord") and Tenant Name: of (the "Tenant").

RECITALS

WHEREAS the Landlord is the registered owner or lawful occupier of the real property known as (the "Property").

WHEREAS the Landlord has agreed to grant and the Tenant has agreed to take a lease of the Property for the term and on the covenants set out in this Lease.

WHEREAS the parties wish to set out their agreement in writing in accordance with the terms and conditions contained herein.

NOW THEREFORE in consideration of the mutual covenants contained in this Lease, the parties agree as follows:

1. DEFINITIONS

1.1 In this Lease unless the context otherwise requires the following expressions shall have the following meanings: "Property" means the Property as described in the Recitals; "Term" means the period commencing on the Commencement Date and ending on the Day before the Term Expiry Date; "Rent" means the yearly rent and any other sums expressed to be payable by the Tenant under this Lease.

2. GRANT

2.1 The Landlord hereby demises the Property to the Tenant to hold from the Commencement Date for the Term subject to the Rent and the Tenant's covenants contained in this Lease.

3. TERM

3.1 Commencement Date: .

3.2 Term: The Lease shall continue for a period of years from the Commencement Date unless sooner determined in accordance with this Lease.

4. RENT

4.1 The Tenant shall pay to the Landlord as Rent a yearly sum of £ payable in advance in equal monthly/quarterly instalments on the day of each month/quarter.

4.2 If any Rent or other sum payable under this Lease is not paid within seven days of the due date, the Tenant shall pay interest on the unpaid amount at the rate of per annum above the base rate from time to time in force, calculated daily.

5. DEPOSIT

5.1 The Tenant shall pay a deposit of £ on exchange/commencement to be held by the Landlord as security against the Tenant's performance of its obligations. The Landlord may deduct from the deposit any sums lawfully due under this Lease and shall return any balance within a reasonable period following termination, subject to any deductions.

6. USE

6.1 The Tenant shall use the Property only for the permitted use: and for no other purpose without the prior written consent of the Landlord.

6.2 The Tenant shall comply with all statutes, statutory instruments, by-laws, orders, regulations, notices and requirements of competent authorities relating to the Property and the Tenant's use thereof.

7. REPAIRS AND MAINTENANCE

7.1 The Tenant shall keep the interior of the Property in good and tenantable repair and condition and shall make good all damage caused by the Tenant or those for whom the Tenant is responsible. The Tenant shall promptly remedy any defect or damage and shall permit the Landlord access at reasonable times to inspect and carry out works.

7.2 The Landlord shall remain responsible for the repair and maintenance of the structure and exterior of the Property except where such repair is rendered necessary by the act or omission of the Tenant in which case the Tenant shall reimburse the Landlord for reasonable costs incurred.

8. INSURANCE

8.1 The Landlord shall keep the Property insured against loss or damage by fire and other usual risks to a reinstatement value and shall produce evidence of such insurance on reasonable request. The Tenant shall be liable for any increase to the Landlord's insurance premium resulting from the Tenant's use or alterations to the Property.

9. ALTERATIONS AND FITTING OUT

9.1 The Tenant shall not make any structural or material alterations to the Property without the Landlord's prior written consent, such consent not to be unreasonably withheld where the proposed works are necessary for the Tenant's permitted use. All approved alterations shall be carried out in a good and workmanlike manner and in compliance with applicable laws and regulations.

10. ASSIGNMENT AND SUBLETTING

10.1 The Tenant shall not assign, underlet, charge or part with possession of the whole or any part of the Property without the prior written consent of the Landlord, such consent not to be unreasonably withheld or delayed where the proposed assignee or sub-tenant is of good financial standing and will observe the covenants of this Lease.

11. SERVICE CHARGE AND OUTGOINGS

11.1 The Tenant shall pay a fair proportion of the cost of maintaining and repairing any common parts and services serving the Property and shall pay all rates, taxes and other outgoings payable in respect of the Tenant's use of the Property.

11.2 Estimated annual service charge: £. The Landlord shall provide accounts of expenditure on reasonable request.

12. DEFAULT, FORFEITURE AND RELIEF

12.1 If the Tenant shall be in persistent breach of any covenant in this Lease, including non-payment of Rent, and shall fail to remedy such breach within a reasonable period following written notice, the Landlord may re-enter the Property and forfeit the Lease without prejudice to the Landlord's rights to recover damages.

13. INDEMNITY

13.1 The Tenant shall indemnify and keep indemnified the Landlord against all claims, costs, losses and liabilities arising out of the occupation or use of the Property by the Tenant or any breach of this Lease by the Tenant, save to the extent caused by the Landlord's negligence or breach of statutory duty.

14. NOTICES

14.1 Any notice given under this Lease shall be in writing and shall be sufficiently served if delivered by hand, sent by recorded delivery or sent by first class post to the address set out in this Lease or as notified in writing. Notices shall be deemed to be served on the date of delivery if delivered by hand, on the second business day after posting if sent by post, and on the date of recorded delivery where proof exists.

15. ASSIGNMENT OF RIGHTS

15.1 This Lease shall be binding upon and enure for the benefit of the parties hereto and their respective successors in title and permitted assignees. The Landlord may assign its interest in this Lease provided that the assignee assumes the obligations of the Landlord under this Lease.

16. COSTS

16.1 The Tenant shall be responsible for all reasonable legal and other costs incurred by the Landlord in the preparation, execution and enforcement of this Lease where such costs arise from any breach or default by the Tenant.

17. ENTIRE AGREEMENT

17.1 This Lease embodies the entire agreement between the parties with respect to its subject matter and supersedes all prior agreements, understandings and representations, whether oral or written.

18. SEVERABILITY

18.1 If any provision of this Lease is held to be invalid, illegal or unenforceable in any respect, such provision shall be severed and the remaining provisions shall continue in full force and effect as if the invalid or unenforceable provision had not been included.

19. AMENDMENT AND WAIVER

19.1 No amendment, variation or waiver of any provision of this Lease shall be effective unless made in writing and signed by or on behalf of each of the parties.

20. GOVERNING LAW

20.1 This Lease shall be governed by and construed in accordance with the law of England and Wales and the parties submit to the exclusive jurisdiction of the courts of England and Wales in relation to matters arising out of or in connection with this Lease.

21. COUNTERPARTS

21.1 This Lease may be executed in any number of counterparts, each of which when executed shall constitute an original, but all the counterparts together shall constitute the same instrument.
