Either party may terminate this certification for convenience upon days' written notice to the other party. Immediate termination may occur upon material breach, dishonesty, or adverse background check results.

Confidentiality

The parties agree that confidential information exchanged in connection with certification, including but not limited to background checks, disciplinary records, and medical information, shall be used solely for bona fide certification purposes and shall not be disclosed except as required by law or with the written consent of the disclosing party.

Liability and Indemnification

The Umpire shall perform services as an independent contractor. The Umpire agrees to indemnify, defend, and hold harmless the Certifying Organization from claims arising out of the Umpire's gross negligence or willful misconduct. The Certifying Organization's liability for certification-related claims is limited to direct damages and shall not include consequential or punitive damages.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction of the Certifying Organization's principal place of business, without regard to conflict of law principles.

Entire Agreement

This document constitutes the entire agreement between the parties concerning certification and supersedes all prior oral and written communications on the subject. Any modification must be in writing and signed by both parties.
