Contract to Locate Unclaimed Assets Agreement made on the ___ day of __________, 20___, between ____________________________ of ________________________________________ (street address, city, county, state, zip code) , referred to herein as Client, and ____________________________ , Inc., a corporation organized and existing under the laws of the state of ______________, with its principal office located at ___________________________________________________ (street address, city, county, state, zip code) , referred to herein as Company. Whereas, Company is in the business of locating unclaimed assets and property owned by others that do not know of such property; and Whereas, these assets and property consist of such property and assets as overbid funds from property that has been sold or is about to go to sale by the public officials for back taxes that are due as well as unclaimed property from a decedent’s estate; Whereas, Client desires to retain the services of Company to locate unclaimed assets and/or property owned by Client of which he is not aware; Now, therefore, in consideration of the matters described above, and of the mutual benefits and obligations set forth in this agreement, the parties agree as follows: I. Nature of Work Company has, will acquire, or use its best efforts to locate assets and/or property owned by Client of which he is unaware. II. Payment Client will pay Company either a percentage of the value of the property located by Company or sell such property to Company for a price agreed to by both parties. Company will receive no other compensation for its services and will pay all out-of-pocket expense it incurs in connection with this agreement. III. Duration of Agreement This agreement will last until the property is transferred to Client or purchased by Company, but in no event will last longer than one year from the date of this agreement. IV. Status of Company This agreement calls for the performance of the services of Company as an independent contractor and Company will not be considered an employee of Client for any purpose. V. Mandatory Arbitration Any dispute under this agreement shall be required to be resolved by binding arbitration of the parties hereto. If the parties cannot agree on an arbitrator, each party shall select one arbitrator and both arbitrators shall then select a third. The third arbitrator so selected shall arbitrate said dispute. The arbitration shall be governed by the rules of the American Arbitration Association then in force and effect.
