What the Uniform Franchise Offering Circular Is and when it applies

A Uniform Franchise Offering Circular (commonly called the UFOC or Franchise Disclosure Document) is the standardized disclosure package a franchisor provides to prospective franchisees. It compiles required disclosures about the franchisor, fees, litigation history, financial statements, franchisee obligations, territory rules, and other material terms. State franchise registration statutes and the Federal Trade Commission’s franchise rule shape timing and content; franchisors should prepare the UFOC to satisfy both federal disclosure timing and any state-specific filing and registration obligations before offering or selling franchises.

Why a clear, compliant UFOC matters

A complete UFOC reduces regulatory risk, improves transparency for potential franchisees, and documents material terms that affect enforceability.

Why a clear, compliant UFOC matters

Who prepares and who reviews the UFOC

Typical participants involved in preparing or receiving a UFOC include franchisors, franchise counsel, and franchisee representatives.

  • Franchisors and executives who compile operations, fees, and disclosure data for submission and delivery to prospects.
  • Franchise counsel and compliance teams who review language for federal and state registration requirements and accuracy.
  • Prospective franchisees, brokers, and investors who use the UFOC to assess financial viability and contractual obligations.

Each participant has different responsibilities: franchisors assemble facts, counsel ensures compliance, and franchisees evaluate commercial and legal risks.

Who is authorized to sign or bind parties

Franchisor Signatory

Typically the franchisor’s CEO, president, or an authorized officer signs on behalf of the franchisor. The signer should have corporate authority documented in bylaws or a board resolution to avoid later challenges to enforceability.

Franchisee Signatory

The franchisee or an authorized representative (corporate officer or agent with written authorization) must sign. For corporate franchisees, provide evidence of authority such as an officer’s certificate or board resolution.

Common mistakes when preparing a UFOC

  • Incomplete financial statements or failure to include required appendices, which can trigger state review delays or requests for supplemental materials.
  • Using outdated litigation or bankruptcy disclosures that omit recent matters and create exposure to misrepresentation claims.
  • Ambiguous fee descriptions that leave open how royalties, marketing contributions, or renewal fees are calculated and collected.
  • Failing to follow state-by-state registration or filing formats, leading to repeated rejections and added legal costs.
