Either party may terminate this registration upon written notice to the other party delivered at least Notice Period (days): days prior to termination, provided that any outstanding obligations (including payment of fees and transfer of units) shall survive termination to the extent necessary to effectuate settlement.

CONFIDENTIALITY

Each party acknowledges that in the course of registration and administration it may receive Confidential Information of the other party. "Confidential Information" means non-public information disclosed in connection with this registration. Each party shall: (a) maintain the confidentiality of such information using at least the same degree of care it uses to protect its own confidential information; (b) use Confidential Information solely for purposes of performing obligations under this registration; and (c) not disclose Confidential Information to any third party except to affiliates, professional advisers, or as required by law, provided that recipients are bound by confidentiality obligations at least as protective as those set forth herein. The confidentiality obligations set forth in this paragraph shall continue for Confidentiality Duration (years): years following termination or expiration.

GOVERNING LAW

This registration and any dispute arising out of or in connection with it shall be governed by and construed in accordance with the laws of Governing Jurisdiction: , without regard to its conflict of laws principles.

ENTIRE AGREEMENT

This registration form, together with any executed subscription agreement, the Issuer's constitutional documents and any schedules or annexes, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements, understandings and negotiations, whether written or oral.
