RECITALS

WHEREAS, Service Provider Name: represents that it has the expertise, personnel, and resources to perform such services on the terms set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual promises contained herein and other good and valuable consideration, the parties agree as follows:

SCOPE OF WORK

Service Provider shall provide the services and deliverables described below. The scope is intended to be comprehensive and to define the responsibilities and acceptance criteria for deliverables.

PAYMENT TERMS

Client shall pay Service Provider in consideration for services performed as follows. All fees are exclusive of applicable taxes unless otherwise stated.

TERM AND TERMINATION

Term: The term of this Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Agreement.

Termination for Convenience: Either party may terminate this Agreement for any reason upon written notice to the other party delivered not less than Notice Period: prior to the intended termination date.

Termination for Cause: Either party may terminate immediately upon written notice if the other party materially breaches any provision of this Agreement and fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach.

CONFIDENTIALITY

Each party (the "Recipient") shall hold in strict confidence all Confidential Information disclosed by the other party (the "Discloser") and shall not use or disclose such Confidential Information except as necessary to perform obligations under this Agreement. Confidential Information shall include non-public financial information, business plans, technical data, source code, pricing, and customer lists. The Recipient's obligations do not extend to information that: (a) is or becomes generally available to the public other than through breach of this Agreement; (b) was known to the Recipient prior to disclosure without breach of an obligation of confidentiality; (c) is rightfully received from a third party without breach of any obligation of confidentiality; or (d) is independently developed by the Recipient without use of the Discloser's Confidential Information.

Upon termination or expiration of this Agreement, the Recipient shall, at the Discloser's option, return or certify destruction of Confidential Information and any copies thereof, except to the extent retention is required by applicable law or reasonable backup procedures.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for the resolution of disputes arising under this Agreement.

ENTIRE AGREEMENT

This Agreement, including all exhibits and schedules attached hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral. Any amendment or modification of this Agreement must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS PROVISIONS

Assignment: Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that Service Provider may assign to an affiliate or in connection with a merger or sale of substantially all of its assets, provided that the assignee assumes the assigning party's obligations.

Severability: If any provision of this Agreement is held to be invalid or unenforceable, the remainder of the Agreement shall remain in full force and effect and such provision shall be reformed only to the extent necessary to make it enforceable.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses below by personal delivery, certified mail (return receipt requested), or overnight courier.

REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that it has the right, power, and authority to enter into this Agreement and to perform its obligations hereunder, and that performance of this Agreement will not violate any agreement or obligation to which it is bound.
