What an Upholstery Service Agreement Covers

An Upholstery Service Agreement is a written contract that documents the scope of work, materials, pricing, timelines, and responsibilities for reupholstery, repair, or custom furniture services. It establishes customer and provider expectations, specifies accepted fabrics or substitutes, records measurements and inspection terms, and allocates liability, warranties, and payment milestones to reduce disputes and clarify deliverables.

Why a Written Agreement Matters for Upholstery Work

A clear Upholstery Service Agreement reduces misunderstandings, supports billing and insurance claims, and creates evidence of consent and terms. Proper execution—whether paper or electronic—helps enforce rights under the ESIGN Act (15 U.S.C. ch. 96) and applicable state UETA laws.

Why a Written Agreement Matters for Upholstery Work

Who Commonly Prepares and Signs This Agreement

A variety of users need this agreement to document upholstery engagements and manage risk.

  • Independent upholsterers and small shop owners who perform custom work and need clear payment and delivery terms.
  • Commercial clients and property managers who require signed promises for lead time, liability, and restoration scope.
  • Interior designers and furniture retailers coordinating multi-vendor installs and warranty conditions on behalf of clients.

Tailor the agreement text and signatory fields to match who pays, who approves changes, and who accepts delivery.

Typical Signatory Profiles

Common Mistakes to Avoid

  • Vague descriptions of work that omit fabric grade, yardage, or pattern matching requirements, causing disputes over scope and cost.
  • Missing or mismatched measurements leading to rework or additional charges if dimensions were not confirmed in writing before fabrication.
  • Failure to document approved substitutions for out-of-stock materials, which can create disagreements about quality and pricing at delivery.
  • Not specifying pickup, delivery, or shipping responsibilities and costs, which often leads to liability and scheduling conflicts.

Risks and Consequences of an Incorrect Agreement

Unpaid Balances: Collections, legal fees
Nonconforming Work: Rework costs, reputational harm
Missed Deadlines: Contractual penalties possible
Missing Signature: Enforceability challenges
Warranty Disputes: Refunds or repairs required
Data Exposure: Privacy breaches if controls lapse
