Common Preparation Pitfalls to Avoid

  • Unclear scope: Failing to define inclusions and exclusions leads to disputes and scope creep during execution.
  • Incomplete pricing: Omitting taxes, contingencies, or assumptions causes later invoice disputes and delays in payment.
  • Wrong signer authority: Having a signatory without binding authority can render the agreement unenforceable or require re-signing.
  • Missing attachments: Omitting referenced exhibits, schedules, or insurance certificates causes procurement rejections or holds.

Practical Risks and Financial Consequences of Errors

Incorrect tax reporting: May trigger IRC §6721 penalties and backup withholding
Unauthorized signature: Creates enforceability disputes and potential liability
Late delivery: Can cause liquidated damages or lost retention
Inaccurate pricing: Leads to disputes and potential contract renegotiation
Data privacy breach: HIPAA or state privacy violations can incur fines
I-9 noncompliance: Civil fines per 8 CFR §274a.2 for paperwork violations

Practical Tips for Accurate and Efficient Proposals

Adopt consistent templates and review checkpoints to reduce errors and speed approvals.

Use standard templates
Maintain approved templates for scope, pricing, and legal clauses so reviewers focus on exceptions rather than re-checking standard language.
Document assumptions
List key assumptions and dependencies in one place to avoid disputes if site conditions or client inputs change.
Validate signatory authority
Confirm the signer can bind the entity. Where required, attach a corporate resolution or power of attorney to prove authority.
Keep an audit trail
Use eSignature platforms that record timestamps, IP addresses, and version history to support enforceability and audits.
